勁嘉股份(002191.SZ)：未及時向董事會報吿實控人、董事長被採取留置措施 收到警示函
格隆匯7月22日丨勁嘉股份(002191.SZ)公佈，公司於近日收到中國證券監督管理委員會深圳監管局(“深圳證監局”)出具的《深圳證監局關於對深圳勁嘉集團股份有限公司、侯旭東採取出具警示函監管措施的決定》，《警示函》主要內容如下：
深圳勁嘉集團股份有限公司、侯旭東：
你公司實際控制人、董事長喬魯予於2022年3月31日被紀檢監察機關採取留置措施。你公司董事、總經理侯旭東於2022年4月1日簽收相關通知書後，未及時向公司董事會報吿，導致你公司直至2022年4月15日才披露上述事項。
你公司上述行為違反了《上市公司信息披露管理辦法》（證監會令第182號，下同）第三條第一款、第二十二條第二款第十七項的規定。侯旭東未按照《上市公司信息披露管理辦法》第四條、第三十三條第一款的規定履行相應義務，對上述行為負有主要責任。根據《上市公司信息披露管理辦法》第五十一條第二款、第五十二條規定，我局決定對你公司、侯旭東採取出具警示函的監管措施。你公司應按照相關法律法規要求，加強信息披露管理，依法履行信息披露義務，並於收到本決定書後15個工作日內向我局報送書面整改報吿。
如對本監管措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監管措施不停止執行。
公司高度重視《警示函》指出的問題，將嚴格按照深圳證監局的要求，制定相應整改措施並按時完成整改。公司將以此為鑑，持續加強對《深圳證券交易所股票上市規則》《上市公司信息披露管理辦法》等相關法律法規及規範性文件的學習，督促公司董事、監事、高級管理人員及相關人員忠實、勤勉、謹慎履職，持續完善內部控制體系建設，進一步提升公司規範運作水平，切實提升信息披露質量，維護公司全體股東的合法利益，促進公司健康、穩定、持續發展。
