海陸重工(002255.SZ)：與金川集團進一步推動合資公司設立進展、以開展動力電池用硫酸鎳產品提升項目
格隆匯7月11日丨海陸重工(002255.SZ)公佈，根據合資公司實際經營發展需要，公司於2022年7月9日召開第六屆董事會第三次會議，審議通過了《關於與金川集團股份有限公司簽署設立合資公司之合資協議暨進展的議案》，同意公司與金川集團簽署《金川集團股份有限公司與蘇州海陸重工股份有限公司設立合資公司之合資協議》，進一步推動合資公司設立進展，合資公司註冊資本由原《框架協議》中約定的5億元變更為10億元。
《合資協議》約定，合資公司註冊資本為人民幣10億元，其中，金川集團出資6億元，佔比60%；公司出資4億元，佔比40%。
雙方圍繞“28萬噸/年動力電池用硫酸鎳產品提升項目”一體化建設、運營以及管理等方面的合作目標，共同組建混合所有制的公司製法人組織作為項目建設、生產運營及管理平台；在充分貫徹“一體化”和“市場化”原則的前提下，雙方逐步對合資公司的生產建設、治理結構、管理制度等全方面進行優化。
項目規劃用地位於金川公司三廠區內，合資公司以貨幣形式向甲方金川集團購買土地使用權。先期建設3萬噸鎳量的浸出系統和6萬噸鎳量的萃取精製系統，產品為28萬噸硫酸鎳；後期擇機再開展3萬噸鎳量的浸出和萃取精製系統的建設，增加14萬噸硫酸鎳產能，雙方股東一致同意亦再規劃延伸建設三元前驅體產品生產線。
此次投資旨在搶抓“雙碳”戰略下新能源動力電池產業發展機遇，打造動力電池新能源材料產業鏈，加快傳統鎳產業向新能源材料產業轉型的速度。公司藉助合資公司所在地的政策優勢、合作方的資源優勢，發揮自身裝備技術優勢，加強雙方在新能源領域的深度合作，促進新興產業項目儲備和實施，實現鎳產業鏈向新能源領域延伸，實現合作共贏、協同發展。
此次投資設立合資公司合作開展動力電池用硫酸鎳產品提升項目，有利於公司充分發揮自身裝備技術優勢，實現公司戰略利益的最大化，符合公司的戰略方向和實際經營需要。
