東原仁知服務(02352.HK)擬收購浙江中都100%股權及湖南金典80%股權
格隆匯6月23日丨東原仁知服務(02352.HK)公吿，於2022年6月23日，重慶東原(公司直接全資附屬公司)、四川東藍與浙江中都訂立浙江中都收購協議，據此重慶東原已有條件同意收購，而四川東藍已有條件同意出售浙江中都的100%股權，代價為人民幣7950萬元。
浙江中都為一家於2000年在中國成立的有限公司。緊接浙江中都收購事項前，其由四川東藍(一名獨立第三方)全資擁有。浙江中都總部位於中國浙江省杭州市，主要從事提供物業管理服務，包括但不限於家政服務、保潔、洗滌及消毒服務以及施工管理服務。
於2022年3月31日，浙江中都的在管總建築面積約為4.8百萬平方米，包括25個住宅物業項目及12個非住宅物業項目，例如位於中國浙江省杭州市、江山市及温州市的學校、政府大樓、商業物業、會議中心等。浙江中都截至2021年12月31日止年度的收益約為人民幣8620萬元。截至2021年12月31日止年度，浙江中都錄得淨利潤率約7.2%。於公吿日期，據董事經作出一切合理查詢後所深知、盡悉及確信，浙江中都並無現有產權負擔，亦無任何重大借款。
董事會欣然宣佈，於2022年6月23日，重慶東原(公司直接全資附屬公司)、四川東藍、張與湖南金典訂立湖南金典收購協議，據此重慶東原已有條件同意收購，而四川東藍已有條件同意出售湖南金典的80%股權，代價為人民幣6170萬元。
湖南金典為一家於2002年在中國成立的有限公司。緊接湖南金典收購事項前，其由四川東藍及張(彼等均為獨立第三方)分別擁有80%及20%。湖南金典總部位於中國湖南省長沙市，主要從事提供物業管理服務，包括但不限於保潔、洗滌及消毒服務、家俬安裝及維修服務以及電腦及辦公設備維修服務。
於2022年3月31日，湖南金典的在管總建築面積約為7.7百萬平方米，包括41個非住宅物業項目，例如位於中國湖北省武漢市、中國湖南省長沙市、株洲市、寧鄉市、湘潭市的學校、醫院、銀行、政府大樓、公園、商業物業等。
考慮到浙江中都及湖南金典的整體表現及資歷，並根據實際市況，集團認為較早訂立收購協議將有利。集團項目與浙江中都及湖南金典項目在業務領域存在高度重疊，有利於整合各方優勢，降低營運成本，提高管理效率及提高未來重疊業務領域的盈利能力。收購事項亦將進一步提升集團在市場上的影響力及競爭力，有利於其長期穩健增長併為股東創造更好的回報。董事認為，收購事項乃集團擴大其地理覆蓋範圍及服務範圍的良機。
