RAFFAELLOASTRUM(08333.HK)：RSL未達成擔保溢利 採用“阿仕特朗金融控股”為中文雙重外文名稱
格隆匯6月16日丨RAFFAELLOASTRUM(08333.HK)公吿，於2021年7月6日，公司與賣方及RSBVI訂立買賣協議，據此，公司同意收購，而賣方同意出售銷售股份（相當於RS BVI已發行股本的25%），代價為3285萬港元，此乃由公司於收購事項完成後按每股代價股份0.141港元的發行價向賣方配發及發行入賬列作繳足的代價股份進行償付。買賣協議根據其條款及條件已於2021年9月30日完成。
根據買賣協議的條款及條件，賣方以公司為受益人擔保RSL經審核除税後溢利將不少於擔保溢利。根據賣方向公司提供的RSL直至2022年3月31日編制的未經審核管理賬目，RSL未經審核除税前後溢利少於100萬港元。根據該管理賬目，擔保溢利不太可能實現。有鑑於此，公司與賣方已互相真誠磋商，以友好解決該事宜，而經過磋商，公司、賣方與RS BVI訂立償付契據。
根據償付契據的條款及條件，各訂約方之間同意(i)公司按出售價出售，而賣方購買銷售股份（即股權出售）；(ii)賣方通過託管代理出售回購股份，而公司應按回購價購買回購股份（即股份回購）予以註銷；(iii)期權契據自完成日期起予以終止；及(iv)股東協議自完成日期起予以終止。
公司有意於完成收購事項後委任曾先生為執行董事且曾先生有意擔任執行董事，以加強曾先生與董事會之間的溝通，並將曾先生的專業知識及業務網路引入公司。遺憾的是，由於RSL該年度的財務表現未能達到溢利擔保，公司及賣方已議決訂立償付契據以撤銷收購事項。曾先生認為，此乃辭任執行董事職務並專注於其他個人事業及業務承擔的適當時機。因此，曾先生辭任執行董事及公司副主席，自2022年6月16日起生效。
因進行該等交易，董事會建議將公司現有英文名稱由“RaffAello-Astrum Financial Holdings Limited”變更為“Astrum Financial Holdings Limited”，並採用中文名稱“阿仕特朗金融控股有限公司”為公司中文的雙重外文名稱。
