*ST雅博(002323.SZ)：與海螺新能源等等設合資公司 以在宣城經開區分期建BIPV光伏建材生產線項目
格隆匯5月5日丨*ST雅博(002323.SZ)公佈，根據公司戰略規劃及經營發展需要，公司與安徽海螺新能源有限公司(“海螺新能源”)、宣城開盛建設投資集團有限公司(“開盛建設”)、安徽華晟新能源科技有限公司(“華晟新能源”)共同出資成立宣城海螺建築光伏科技有限公司(“合資公司”)，註冊資本金已於2022年4月30日前實繳到位。合資公司在宣城經濟技術開發區分期建設BIPV光伏建材生產線項目，共同推動BIPV光伏建材產業發展。
截止公吿披露日，各方註冊資本金已實繳到位，具體情況如下：海螺新能源：實繳註冊資本金18600萬元，持股68.889%；公司：實繳註冊資本金6000萬元，持股22.222%；開盛建設：實繳註冊資本金1500萬元，持股5.556%；華晟新能源：實繳註冊資本金900萬元，持股3.333%。
經雅博股份、海螺新能源、開盛建設、華晟新能源同意，規劃以設立合資公司的方式，通過合資公司在宣城經濟技術開發區分期建設BIPV光伏建材生產線項目，以及必要的倉儲、生產生活、辦公等輔助設施，總佔地面積約100畝，總投資約6億元人民幣。其中一期佔地約50畝，規劃建設年產30萬平方米光伏幕牆生產線、年產50MW光伏瓦生產線和年產30MW金屬屋頂生產線，投資額約3億元，具體以工程決算為準。
海螺集團系我國最大的建材企業集團之一，為落實國家雙碳政策，將加快新能源產業發展，打造新的產業級增長，為水泥行業重新定義綠色低碳轉型的目標路徑與可持續發展的使命願景。華晟新能源是國內異質結電池及組件的產業領跑者。此次合作旨在通過強強聯合、技術合作等模式，持續推動新能源產業的集羣式發展，擴大新能源產業佈局，共同推動碳達峯、碳中和目標實現。該生產項目的開工建設及投產運營，將為我國的BIPV(建築光伏一體化)項目大面積開展提供了強大的材料體系及技術體系。
此次投資系公司佈局新能源板塊產品端，新設立標的公司將納入公司投資收益，並有利於公司擴大未來的業務市場，不存在損害上市公司及股東利益的情形。
