絲路物流控股(00988.HK)擬100萬元收購內蒙古亞歐大陸橋物流23.396%股權
格隆匯4月19日丨絲路物流控股(00988.HK)公吿，於2022年4月19日，公司間接全資附屬公司博屬(上海)(以承讓人身份)與轉讓人天津匯力源國際貿易有限公司訂立該協議，據此，博屬(上海)同意向轉讓人收購目標公司內蒙古亞歐大陸橋物流有限責任公司23.396%股權，代價為人民幣100萬元，惟須待貸款資化完成後，方吿作實。
目標公司為一間於中國成立的公司。於本公佈日期，目標公司由國有企業(屬獨立第三方)擁有41%、博屬(上海)擁有39%及轉讓人擁有20%。於公佈日期，目標公司為集團的聯營公司。貸款資本化後，目標公司將由國有企業(屬獨立第三方)擁有4.839%、博屬(上海)擁有4.604%、轉讓人擁有62.894%及另一債權人擁有27.663%。目標公司於中國內蒙古自治區烏海市提供物流及倉儲服務。
集團投資目標公司的價值已全數減值，原因為目標公司因缺乏資金作應對環境政策變化和維護及提升基礎建設級別用，目標公司的營運所有延誤，並隨後僅可維持最低的營運水平。
轉讓人及另一間公司為目標公司其中兩名的債權人。為償還目標公司債務及改善其財務狀況，轉讓人及另一債權人協定，目標公司可以貸款資本化的方式償債，作為新註冊資本注資。貸款資本化後，轉讓人及另一債權人將分別擁有目標公司註冊資本約62.894%及27.663%，而博屬(上海)持有目標公司的股權將攤薄至約4.604%。
根據該協議，轉讓人同意於貸款資本化後以代價人民幣100萬元向博屬(上海)轉讓待售股權，代價金額經轉讓人與博屬(上海)公平磋商並參照目標公司於貸款資本化後的業務前景、溢利保證以及博屬(上海)同意支持貸款資本化後釐定，在沒有博屬(上海)的支持下，貸款資本化無法進行。
董事認為，儘管貸款資本化後，集團持有目標公司的股權將會攤薄，惟目標公司的資產負債狀況將有所改善，業務前景亦然。再者，計入收購事項及轉讓人根據該協議作出的溢利保證，本集團於目標公司的實際利益將不會受到重大影響。
