中民控股(00681.HK)擬2300萬元收購重慶景通犀野39.66%股權
格隆匯4月7日丨中民控股(00681.HK)發佈公吿，2022年4月6日，重慶犀野(買方，為公司的間接全資附屬公司)及重慶景通(賣方，為重慶景通犀野股東)訂立股權轉讓合同，據此，重慶景通有條件同意出售重慶景通犀野(為公司的間接非全資附屬公司)39.66%股本權益，交易代價為人民幣2300萬元。
重慶景通犀野於2020年12月22日成立,主要於重慶市從事物業投資及運營及其它相關業務。於該公佈日,重慶犀野及重慶景通分別持有重慶景通犀野60.34%權益及39.66%權益。按香港會計準則編制重慶景通犀野於2021年12月31日的淨資產值為約人民幣5480.1萬元。重慶景通犀野持有物業擁有2.21萬平方米工業用地的50年使用權，該等物業地塊規劃可建築面積3.31萬平方米；已建成廠房(倉庫)3948.60平方米，辦公樓2960.97平方米，在餘下的土地內尚可建築2.62萬平方米的廠房、倉庫和辦公樓；此餘下土地已經完成硬化，局部建有鋼架構房屋，目前可以作為倉庫、貨物堆場或停車場。
集團計劃在重慶建立賣場、快消品和生鮮食材供應鏈體系，與該計劃配套，需要在重慶三北地區設立統一的快消品配送倉揀配送中心和生鮮食材倉揀配送中心，統一安排集中處置大量交易資訊的資訊管理系統和辦公室，以便提高管理效率，形成規模效益。重慶景通犀野擁有該等物業(地塊)位置優越鄰近機場，交通方便，已建成的建築物可以滿足集團計劃(五年內)在重慶市北五區賣場、快消品和生鮮食材供應鏈業務發展需要。該等物業(地塊)佔地2.21萬平方米，規劃批准可建設建築面積3.31萬平方米(目前重慶景通犀野僅使用了約6909.57平方米建築指標，尚餘2.62萬平方米建築指標可以使用)；未來根據業務發展需要，集團於該等物業(地塊)內還可以新建約2.62萬平方米廠房、倉庫和辦公樓，配合業務發展，可以充分滿足集團在重慶賣場、快消品和生鮮食材供應業務長期發展的需要。完成收購事項後，重慶犀野將持有重慶景通犀野的100%股本權益，重慶景通犀野將成為公司的間接全資附屬公司。
