榮暉國際(00990.HK)擬1270萬美元收購SK香港及Fox-Chem全部股權
格隆匯4月1日丨榮暉國際(00990.HK)發佈公吿，於2022年4月1日，SKS化工（公司全資附屬公司）、公司、JMK資本、高峯先生、肖霞女士及賣方陳壽吉先生訂立買賣及股東協議，據此賣方已同意出售且SKS化工已同意收購SK香港全部已發行股本以及Fox-Chem全部已發行股本，代價為1270萬美元。
此外，根據買賣及股東協議，(i)公司、高先生、肖女士各自均已同意於銀行開户日期認購7,799,999股SKSC股份、650,000股SKSC股份及650,000股SKSC股份，代價分別為7,799,999美元、650,000美元及650,000美元，因此SKS化工將成為公司、高先生及肖女士擁有的合營企業，各自分別擁有約85.72%、7.14%及7.14%的股權。
及JMK資本已同意於完成日期認購3,900,000股SKSC股份，代價為3,900,000美元。緊隨認購事項完成後，SKS化工將由本公司、JMK資本、高先生及肖女士分別擁有60%、30%、5%及5%。收購事項及認購事項完成後，SKS化工將成為公司的非全資附屬公司。完成收購事項與認購事項並非互為條件。
SK香港是一家於香港註冊成立的有限公司，其主要業務為石油化工產品的批發及貿易以及投資控股。
Fox-Chem是一家在新加坡註冊成立的有限公司。其主要業務是化學品和化工產品的批發。
集團不斷尋求機會擴大其貿易範圍及多元化其貿易產品。此次收購事項將是對集團現有貿易線的良好補充。由於目標公司在石油化工及化工產品貿易方面經驗豐富，擁有完善的網絡及客户基礎，收購事項將成為集團進軍化工貿易市場並多元化其現有貿易產品線的良好切入點。合營企業的成立和認購事項亦將減少收購事項的初始資本要求。此外，由於陳先生將繼續管理和經營目標公司，同時也管理和經營SKS化工，持有SKS化工的股權將使陳先生的利益與SKS化工的利益一致，並在陳先生協助提升SKS化工及目標公司的表現時為其提供更多激勵。
