樂歌股份(300729.SZ)：孫公司擬出售新澤西州的相關海外倉 將增加當期税前收益約1076萬美元
格隆匯2月27日丨樂歌股份(300729.SZ)公佈，樂歌自2013年至2020年，在美國核心樞紐港口區域購買7個海外倉，並於2019年初至2020年，開始系統性籌劃並全力推進樂歌跨境電商公共海外倉創新服務綜合體項目，該項目自開倉以來發展態勢良好。截止2021年底，樂歌除在美國核心樞紐港口區域自購的海外倉和租賃倉外，還在德國、日本等地也均設有海外倉，累計全球共15倉，已交付使用面積26萬平方米。2021年上半年，樂歌跨境電商公共海外倉創新服務綜合體項目實現營業收入6811.02萬元，盈利情況良好。
海外倉是開展跨境電商的必要基礎設施，尤其對於中大件產品，對於多渠道運營，自主渠道獨立站運行，同時對於支持中小企業品牌出海，更是必不可少的基礎設施。公司為適應跨境電商進一步發展的趨勢，提升倉庫運作效率，加大單位面積產出，“合併小倉，建大倉”以降低多地小面積倉庫固定投入損耗，進而降低海外倉集羣的運營成本，優化資本結構，提高管理效率，滿足更多中小外貿企業對海外倉儲物流的需求。公司已於2021年9月租賃位於美東賓夕法尼亞州的50萬平方英尺大倉，並完成了同一區域內的“小倉向大倉轉移”，因此公司同意孫公司出售位於新澤西州1151 Commerce Blvd., Logan Township, NewJersey (Block 2803, Lot 1.02)建築面積約95,872平方英尺的海外倉(“標的資產”)。此次出售標的資產所取得的資金，公司將用以租賃和自建更大面積的海外倉，進一步完善公司境外倉儲物流體系，加深公司跨境電商公共海外倉創新服務綜合體項目規模性運營壁壘。
公司於2022年2月25日召開的第四屆董事會第三十八次會議，審議通過了《關於同意境外孫公司出售部分海外倉的議案》。公司孫公司1151 COMMERCE, LLC擬將位於新澤西州1151 Commerce Blvd., LoganTownship, New Jersey (Block 2803, Lot 1.02)的海外倉出售。經雙方協商確定此次資產交易成交價格為2300萬美元。
此次出售海外倉主要係為後續租賃和自建更大面積的海外倉，進一步完善公司境外倉儲物流體系，加深公司跨境電商公共海外倉創新服務綜合體項目壁壘。此次出售標的資產是基於公司整體戰略規劃和海外倉佈局，不會對公司業務發展和持續盈利能力產生影響，也不會給公司帶來風險；有利於提升倉庫運作效率，加大單位面積產出，降低多倉庫固定投入損耗，進而降低海外倉運營成本，優化資本結構，提高管理效率。此次出售資產所得款項將存入托管帳户，用於後續自建大面積海外倉所需資金，對公司的財務狀況將產生正面影響。經公司測算，如此次資產轉讓完畢，將增加公司當期税前資產轉讓收益約1076萬美元。
