欣旺達(300207.SZ)：欣旺達汽車電池擬獲車和家、Sky Top及蔚瑞投資等19家企業增資24.3億元
格隆匯2月24日丨欣旺達(300207.SZ)公佈，公司於2022年2月23日召開第五屆董事會第二十六次會議、第五屆監事會第二十六次會議，審議通過了《關於欣旺達電動汽車電池有限公司增資的議案》：
(1)同意天津和諧海河股權投資合夥企業(有限合夥)(“和諧海河”)、江蘇車和家汽車有限公司(“車和家”)、Sky Top LLC (“Sky Top”)、蘇州蔚瑞創業投資合夥企業(有限合夥)(“蔚瑞投資”)、巡星投資(重慶)有限公司(“巡星投資”)、珠海睿海裕能股權投資合夥企業(有限合夥)(“睿海裕能”)、嘉興頎辰股權投資合夥企業(有限合夥)(“嘉興頎辰”)、青島恆雋瑞私募股權投資基金合夥企業(有限合夥)(“恆雋瑞”)、無錫上汽金石創新產業基金合夥企業(有限合夥)(“上汽金石”)、浙江華友控股集團有限公司(“華友控股”)、寧波梅山保税港區奧聞投資管理合夥企業(有限合夥)(“奧聞投資”)、廣州廣祺欣電合夥企業(有限合夥)(“廣祺欣電”)、天津合盛股權投資合夥企業(有限合夥)(“合盛投資”)、青島鑫旺綠色新能源投資合夥企業(有限合夥)(“鑫旺綠色”)、信之風(武漢)股權投資基金合夥企業(有限合夥)(“信之風投資”)、東風交銀轅憬汽車產業股權投資基金(武漢)合夥企業(有限合夥)(“交銀轅憬”)、佛山市誠煜企業管理合夥企業(有限合夥)(“佛山誠煜”)、深圳市紅土嶽川股權投資基金合夥企業(有限合夥)(“紅土嶽川”)、深圳市創新投資集團有限公司(“深創投”)共19家企業以合計24.3億元人民幣向欣旺達電動汽車電池有限公司(系欣旺達控股子公司，“欣旺達汽車電池”或“子公司”)增資，認購欣旺達汽車電池123,654.6萬元人民幣的新增註冊資本，對應此次增資完成後欣旺達汽車電池合計19.5495%的股權。
此次增資完成後，欣旺達汽車電池的註冊資本將由508866.66萬元人民幣增至632521.26萬元人民幣。此次增資完成後，公司下屬子公司欣旺達惠州新能源有限公司持有欣旺達汽車電池的股權比例由71.5315%變更為57.5475%，欣旺達汽車電池仍屬於公司合併報表範圍內的控股子公司。
截至公吿日，上述交易各方擬簽署《欣旺達電動汽車電池有限公司增資協議》。
