東方支付集團控股(08613.HK)擬收購Alldebit Pte. Ltd.67%股權
格隆匯1月28日丨東方支付集團控股(08613.HK)公吿，於2022年1月28日，公司與賣方訂立諒解備忘錄，據此，公司(作為買方)擬收購而賣方(蔣爭豔、譚佳偉)擬出售目標公司Alldebit Pte. Ltd67%股份，惟須待(其中包括)訂立正式協議並根據其條款及條件作出後，方可作實。
目標公司主要從事電子商務應用程序開發業務，具體涉及線上替代支付及結算以及軟件及程序開發(尤其是軟件解決方案及互聯網內容開發)。
集團持續面臨中美貿易戰影響及2019冠狀病毒病疫情爆發等不確定風險，該等風險持續影響中國遊客在泰國的消費。特別是，2019冠狀病毒病疫情爆發導致前往泰國的大部分國際航班持續暫停，對集團的收入造成重大不利影響。
為減少依賴旅遊業的業務風險，集團正於亞太地區探索線上線下支付相關業務的投資機會，以及於中國(尤其是粵港澳大灣區)金融科技及信息技術行業等新經濟領域的其他投資機會。
一方面，集團將對2019冠狀病毒病疫情的發展及狀況保持警惕，持續評估其對集團財務狀況及經營業績產生的影響並採取必要措施維持業務的穩定性及可持續性；另一方面，集團亦將繼續密切監控市場狀況並調整集團的業務策略以應對其商户網絡帶來的交易價值波動。
通過向賣方收購於目標公司的所有剩餘股權，集團能夠對目標公司的所有業務及資源(包括但不限於於完成時或前目標公司取得的支付服務提供商牌照)行使控制權，並可充分及完全獲得目標公司的可進一步利用、開發及 與其於其他亞太地區的其他支付相關業務共享的知識、經驗、網絡及技術，此可能為集團的整體支付相關業務帶來協同效應。同時，建議收購事項亦將使集團擴大其於新加坡的支付相關市場的市場份額，預計將分散與商户收購業務主要經營的地理位置有關的風險，並在其擴大的業務組合中產生新的收入來源，此可能會給股東帶來更好的長期回報。
