華友鈷業(603799.SH)：擬與其他合資方共同投資華飛公司 以建紅土鎳礦濕法冶煉項目
格隆匯1月28日丨 華友鈷業(603799.SH)公佈，公司擬通過全資子公司華友國際鈷業(香港)有限公司(“華友國際鈷業”)以77.5萬美元或等值的1,087,480萬印尼盧比收購永瑞控股有限公司(“永瑞控股”)持有的華飛鎳鈷(印尼)有限公司(“華飛公司”或“合資公司”)31%股權，並將收購的華飛公司31%股權質押給億緯亞洲有限公司(“億緯亞洲”)，為億緯亞洲向華飛公司一次性提供的金額為21420萬美元、借款期限為7年、借款年利率為5%的股東借款提供擔保。
此次收購相關事項完成後，華友國際鈷業將合計持有華飛公司51%股權，該51%股權全部質押給億緯亞洲，除億緯亞洲外合資公司其他股東也已向億緯亞洲質押其持有合資公司的股權。
與此同時，華友國際鈷業與Glaucous International Pte.Ltd (“Glaucous”)、億緯亞洲和LINDO INVESTMENT PTE. LTD (“LINDO”)簽署了新的《股東協議》。華友國際鈷業與其他合資方共同投資合資公司華飛公司，合資公司在印度尼西亞Weda Bay工業園區建設紅土鎳礦濕法冶煉項目，項目建設總投資約20.8億美元，項目生產規模為年產約12萬噸鎳金屬量和約1.5萬噸鈷金屬量的產品；合資公司的授權資本為1000萬美元，其中華友國際鈷業認繳出資510萬美元，實繳出資127.5萬美元，持股比例為51%。
公司“十四五”期間發展戰略規劃把新能源鋰電材料產業作為重點發展的核心業務，隨着新能源汽車的全球商用化，高鎳三元材料對鎳資源的需求可能出現高速增長。此次收購華飛公司部分股權以實現對華飛公司並表是公司按照中長期發展戰略做出的安排。公司與其他合資各方共同推進印尼鎳資源開發，將充分發揮各自優勢，在印尼開展鎳資源冶煉與深加工，打造具有世界競爭力的新能源動力電池鎳原料制造體系，為公司新能源鋰電材料業務的發展提供可靠的資源保障。此次收購事項符合公司的發展戰略，有利於推進公司佈局鎳資源，有利於進一步提升公司的盈利能力和可持續發展能力。
