雅居樂集團(03383.HK):中國海外發展擬18.44億元收購廣州利合房地產開發26.66%股權

格隆匯1月24日丨雅居樂集團(03383.HK)發佈公吿,2022年1月21日,公司間接全資附屬廣州振然投資有限公司作為賣方與買方訂立買賣協議,據此,買方有條件同意購買股權(佔合營公司約26.66%的股權),總代價約為人民幣18.44億元(可予調整)。買方(即廣東中海地產有限公司)為中國海外發展(00688.HK)的間接全資附屬公司。

合營公司(即廣州利合房地產開發有限公司)為一家於中國成立的有限合營公司,其股權分別由賣方、買方、廣州市鴻盈綠化工程有限公司及上海穆蕾企業管理有限公司擁有約26.66%、20%、約26.67%及約26.67%,主要於中國從事物業開發業務。

合營公司的主要資產為該物業,該物業位於廣州市番禺區石樓鎮廣州亞運城,是一座名為“廣州亞運城”的商住混合式綜合體,總建築面積約為585萬平方米,地盤面積約為252.1萬平方米。於該公吿日期,該物業約406萬平方米的建築面積已開發為住宅及商業單位以及停車場。餘下建築面積(即約179萬平方米)仍在施工中,而有關建設預期將於2025年底竣工。於該公吿日期,該綜合體約347.3萬平方米的建築面積(包括住宅及商業單元及車位)已出售。

於該公吿日期,廣州利合物業管理及廣州世佳裝飾均為合營公司的全資附屬公司,併為中國註冊成立的有限公司。廣州利合物業管理主要於中國從事物業管理業務,而廣州世佳裝飾主要於中國從事建築裝飾及裝修業務。
