紅相股份(300427.SZ)：2021年度預虧6.2億元-6.8億元 上市以來首虧
格隆匯1月23日丨紅相股份(300427.SZ)披露2021年度業績預吿，預計2021年度實現歸屬於上市公司股東的淨利潤為虧損6.20億元-6.80億元，上年同期為盈利2.32億元，預計2021年度實現歸屬於上市公司股東的扣除非經常性損益後的淨利潤為虧損6.67億元-7.27億元，上年同期為盈利1.99億元。
2021年公司預計歸屬於上市公司股東的淨利潤出現公司上市以來首次虧損，主要原因系：
(一)計提大額商譽減值
2017年，為了延伸公司產業鏈，拓展公司電力設備狀態檢測、監測產品的佈局，公司發行股份及支付現金收購卧龍電氣銀川變壓器有限公司100%股權、合肥星波通信技術有限公司67.54%股權，給公司帶來了較大的利潤貢獻。受國家鐵路投資放緩及投資規模下降的影響，公司變壓器業務所處的細分領域行業競爭加劇，公司結合實際經營情況及行業政策變化等因素，根據《企業會計準則第8號-資產減值》及相關會計政策規定，基於謹慎性原則，經公司財務部門初步測算，2021年度預計對收購子公司卧龍電氣銀川變壓器有限公司(簡稱“銀川卧龍”)形成的商譽計提減值準備金額約為6.70億元。截止目前相關的減值測試尚在進行中，最終商譽減值準備計提的金額將由公司聘請的具備證券期貨從業資格的評估機構及審計機構進行評估和審計後確定。
(二)計提長期資產減值損失
根據《企業會計準則第8號-資產減值》及相關會計政策規定，結合行業政策變化、競爭格局及資產運行情況，經公司財務部的初步測試，2021年預計對收購子公司銀川卧龍的長期資產計提約3500.00-4000.00萬元的資產減值損失。截止目前相關的減值測試尚在進行中，最終長期資產的資產減值損失計提的金額將由公司聘請的具備證券期貨從業資格的評估機構及審計機構進行評估和審計後確定。
(三)經營業績下滑
1、報吿期，受市場競爭的影響，公司電力設備狀態檢測、監測產品的新籤合同金額相比去年同期有所下降，造成報吿期公司電力板塊銷售收入較去年同期下降。受市場競爭及鐵路投資放緩的影響，報吿期公司鐵路與軌道交通板塊銷售收入較上年同期下降。
2、報吿期，公司綜合毛利率較上年同期有所下降，主要是受原材料價格上漲，人工成本上升、市場競爭以及項目差異等因素所致。
3、報吿期，隨着公司市場推廣及售後服務活動的增加、人員薪資的調整、研發項目增加投入，公司銷售費用、管理費用以及研發費用較上年同期有所增加。
4、非經常性損益的影響報吿期，非經常性損益對歸屬於上市公司股東淨利潤的影響金額約4700.00萬元，主要為政府補助收入及出售孫公司中寧縣銀變新能源有限公司100%股權的投資收益。上年同期非經常性損益對歸屬於上市公司股東淨利潤的影響金額為3221.85萬元。
