瑞風新能源(00527.HK)擬與長城華冠在新能源設備製造及相關業務開展合作
格隆匯1月19日丨瑞風新能源(00527.HK)公吿，於2022年1月19日，公司與北京長城華冠汽車科技股份有限公司("長城華冠")訂立了戰略合作協議，以在新碳纖維物料、電動車電池管理、智能汽車控制系統、新能源儲備、新能源設備製造及相關業務範圍的業務發展、潛在股本投資及集資方面建立全面合作關係。
根據戰略合作協議，以及在訂立最終協議的前提下，訂約方同意本公司應(i)作為長城華冠日後可能進行的集資及重組工作的關鍵戰略合夥人行事；(ii)在適當時候以現金或股本投資方式，對長城華冠的電池、智能汽車控制及相關業務分部及公司進行投資，以實現長城華冠"前途"型號汽車的全面汽車生產，以及向第三方提供生產有關汽車所需的關鍵組件及零部件，以及開發中國的能源儲備市場；及(iii)在適當時候以現金或股本投資方式，對長城華冠的碳纖維業務分部及相關公司進行投資，以實現汽車及風能設備業的生產，以及提供有關生產所需的關鍵碳纖維組件及零部件(如碳纖維汽車車身及風能葉片設備)，以提升有關物料在可再生能源業的使用率。
長城華冠目前以自有資源支持新能源汽車的生產。對長城華冠的碳纖維分部進行投資，將進一步提升其產能，使其成為全球第三方汽車公司的供應商。
長城華冠為一間於中國註冊成立的有限公司，其過往於中國全國中小企業股份轉讓系統(NEEQ)上市(NEEQ代號：833581，已於2019年四月19日自願停牌)。長城華冠於2012年成立，主要從事汽車設計及開發服務、汽車生產及銷售以及汽車研發。長城華冠及其附屬公司的產品及服務主要涵蓋新能源汽車，同時亦參與了物聯網及智能交通等尖端汽車技術的相關項目。根據長城華冠提供的資料，其註冊了1,000多項專利，並已進一步申請700多項專利。
戰略合作協議構成公司進一步落實有關投資及業務發展的步驟。董事會認為訂立戰略合作協議符合公司及股東的整體利益，因為在戰略合作協議下擬進行的合作事項一旦落實，將使公司能夠在新能源儲備及可再生能源設備生產範疇獲得有利支持，併為公司在不斷增長的能源及可再生能源業提供一個優越的地位，與公司目前的業務定位相輔相成。
