美爾雅(600107.SH)：實控人將變更為鄭繼平
格隆匯1月13日丨美爾雅(600107.SH)公佈，2022年1月13日，公司收到巖能資本管理有限公司(“巖能資本”或“轉讓方”)發來的通知，主要內容如下：
(1)2022年1月13日，巖能資本與北京中紡絲路投資管理有限公司(“北京中紡絲路”或“受讓方”)、中紡絲路(天津)紡織服裝科技有限公司(“中紡絲路(天津)”)簽署了《股權轉讓協議》(簡稱“主合同”)，巖能資本將其持有的中紡絲路(天津)的42.5%股權(對應中紡絲路(天津)註冊資本2.55億元以股權轉讓對價合計4.25億元轉讓給北京中紡絲路；
(2)2022年1月13日，巖能資本與北京中紡絲路籤署了《股權質押合同》，北京中紡絲路同意將依據主合同從巖能資本處受讓的中紡絲路(天津)42.5%股權(對應中紡絲路(天津)註冊資本2.55億元及其派生的權益質押給巖能資本，擔保北京中紡絲路依據主合同的約定應向巖能資本支付的股權轉讓對價合計4.25億元以及主合同項下應支付的其他款項。
本次權益變動前，中植企業集團有限公司(“中植集團”)持有巖能資本100%的股權；巖能資本持有中紡絲路(天津)67%的股權，系中紡絲路(天津)控股股東；中紡絲路(天津)持有湖北美爾雅集團有限公司(“美爾雅集團”)100%的股權；美爾雅集團持有美爾雅的73,388,738股的股份，占上市公司總股本的20.39%。
綜上，本次權益變動前，公司控股股東為美爾雅集團；巖能資本通過中紡絲路(天津)間接控制美爾雅73,388,738股的股份，占上市公司總股本的20.39%，中植集團系美爾雅的間接控股股東。
本次權益變動後，巖能資本持有中紡絲路(天津)24.5%的股權，北京中紡絲路持有中紡絲路(天津)43.5%的股權，北京中紡絲路的控股股東湖北百佳新高持有中紡絲路(天津)32%的股權，北京中紡絲路及其控股股東湖北百佳新高合計持有中紡絲路(天津)75.5%的股權。中紡絲路(天津)持有美爾雅集團100%股權，美爾雅集團持有美爾雅的73,388,738股的股份，占上市公司總股本的20.39%。
綜上，本次權益變動後，公司控股股東不變，仍為美爾雅集團；中植集團、巖能資本仍間接持有美爾雅的股份；湖北百佳新高將成為美爾雅的間接控股股東，鄭繼平將成為美爾雅的實際控制人。
