中國軟件國際(00354.HK)：北京中軟國際擬轉讓深圳開鴻50.83%股權 深圳開鴻獲注資共2億元
格隆匯12月23日丨中國軟件國際(00354.HK)公吿，於2021年12月23日，北京中軟國際與鴻聚創新訂立股權轉讓協議，據此，北京中軟國際已同意轉讓而鴻聚創新已同意收購轉讓股本權益（相當於深圳開鴻約50.83%股本權益），有關代價為人民幣7625萬元。其中，鴻聚創新為深圳開鴻的僱員持股計劃，其股權計劃於兩年內，全部分配給深圳開鴻的員工。
同日，北京中軟國際、億鑫科技、哈勃、建信中軟國際、鴻聚創新與深圳開鴻訂立深圳開鴻注資協議，據此，哈勃、建信中軟國際及鴻聚創新已同意對深圳開鴻注入合共人民幣2億元的權益資本。
於股權轉讓協議及深圳開鴻注資協議完成後，深圳開鴻將不再為集團的附屬公司，但集團將透過其於建信中軟國際中的99.90%合夥權益，於深圳開鴻中擁有約19.50%間接實際股本權益。
深圳開鴻總部位於深圳市，其成立的使命為成為以OpenHarmony為基礎的核心操作系統的旗艦開發商，做基於開源鴻蒙操作系統發行版的產品業務。
公司一直與各方就開發OpenHarmony操作系統發行版，並就將OpenHarmony操作系統發行版應用至千行百業展開各種策略性合作。OpenHarmony是由開放原子開源基金會(OpenAtom Foundation)孵化及運營的開源項目，目標是面向全場景、全連接、全智能時代，基於開源的方式，搭建一個智能終端設備操作系統的框架和平台，促進萬物互聯產業的繁榮發展。
該等交易將可(i)打造以國產智能物聯網操作系統為核心的具備根技術能力的高科技型產品業務；(ii)以產品業務牽引延伸構建圍繞國產智能物聯網操作系統的生態使能業務，並牽引構建更堅固的基石業務，從而構建ABG涵蓋產品、生態使能、基石的多層次、全棧、互動發展及全面增長的業務結構，形成新的業務增長點； (iii)多層次全棧業務結構將牽引構建人才發展通道的戰略縱深，實現人才在基石業務、生態使能業務、產品業務的良性發展和流動，提升人才吸引優勢，做厚公司人才資本，有效助力多層次全棧業務的互動發展及全面增長；及(iv)通過技術牽引，引導基石業務向軟硬件一體化發展，2B向2C更大規模之市場發展，提高交付能力，更好地服務策略性客户，並實現基石業務的進一步高質量及大規模增長。
