中偉股份(300919.SZ)：子公司與FMG及其子公司FBC簽署芬蘭前驅體項目投資協議書
格隆匯12月13日丨中偉股份(300919.SZ)公佈，公司全資子公司中偉香港新能源科技有限公司(Zoomwe Hong Kong New Energy Technology Co., Ltd.，簡稱“中偉香港新能源”)與Finnish Minerals Group(芬蘭礦業集團，簡稱“FMG”)全資子公司 Finnish BatteryChemicals Oy(芬蘭電池化學品有限公司，簡稱“FBC”)於近日在赫爾辛基簽訂《Shareholders’ Agreement between Zoomwe Hong Kong New Energy Technology Co., Ltd. andFinnish Battery Chemicals Oy relating to the shareholding in FBC project 1 Oy》(簡稱“投資協議書”)。
根據投資協議書約定，雙方以建設、運營芬蘭前驅體生產基地為目的，中偉香港新能源或其子公司持有 FBC project 1 Oy(FBC 項目1有限公司，“項目公司”)60%股權，FBC持有項目公司40%股權。雙方按股比先出資500萬歐元(摺合人民幣約3600萬元)，最高不超過600萬歐元(摺合人民幣約4320萬元)用於推進項目全新自動化產線施工圖設計和建設許可、環境許可、化學品許可等資質材料準備工作(“項目開發階段”)。
項目公司擬在芬蘭Hamina市建設年產規模不超過12萬噸的高鎳三元前驅體生產基地。其中一期年產2萬噸產能預計2024年建成投產，一期投資規模約2億歐元(摺合人民幣約14.4億人民幣)，具體投資金額和建設進度計劃將在項目開發階段完成後由項目公司董事會進行確認並提交給股東方進行審議。項目建設和運營期所需資金，雙方按股比進行股東出資和股東貸款。
