華測檢測(300012.SZ)：華測醫藥擬通過增資擴股 實施員工持股計劃
格隆匯12月13日丨華測檢測(300012.SZ)公佈，上海華測品創醫學檢測有限公司(“華測醫藥”)擬以4.5元/注冊資本的價格(即投前估值143795.7萬元)增資擴股，該估值參照資產評估值確定。此次增資完成後華測醫藥的註冊資本由 31954.6萬元增加至不超過38400萬元，公司持有華測醫藥的股權比例將由100%變更為不低於83.21%。
上海華測品創醫學檢測有限公司系公司全資子公司，主要業務是為醫藥行業提供服務，包括：CRO(藥品臨牀前 CRO服務)、醫學檢測、藥品檢測、安評及職業健康體檢等。
為了增強華測醫藥的資本實力，促進未來業務發展，充分調動華測醫藥員工的積極性和創造性，吸引和留住人才，有效地將股東利益、公司利益和員工利益相結合，華測醫藥擬通過增資擴股的方式實施員工持股計劃。同時，為了建立華測檢測管理層的長期有效的約束機制，增強華測醫藥員工持股的信心，華測檢測管理層和公司董事長萬峯先生共同參與跟投。公司放棄對華測醫藥此次增資的認繳出資權。
華測醫藥員工持股計劃、華測檢測的管理層擬分別成立持股平台參與華測醫藥此次增資。此次增資擴股安排如下：華測醫藥員工持股平台、華測檢測管理層持股平台和萬峯先生以4.5元/註冊資本的價格(即華測醫藥投前估值 143795.7萬元)，分別認購華測醫藥新增註冊資本不超過3175萬元、1502萬元和1768.4萬元，出資金額分別為不超過14287.5萬元、6759萬元和7957.8萬元，合計出資不超過29004.3萬元。此次增資擴股完成後，華測醫藥的註冊資本由31954.6萬元增加至不超過38400萬元。假設華測醫藥員工持股平台按照上限認購，此次增資完成後，華測醫藥員工持股平台、華測檢測管理層持股平台和萬峯預計分別直接持有華測醫藥8.27%、3.91%和4.61%的股權。
此次增資完成後，華測檢測對華測醫藥持股比例由100%變更為不低於83.21%，華測醫藥仍為公司控股子公司，此次增資擴股事項不會導致公司合併報表範圍的變更。
此次華測醫藥員工持股計劃設置了預留股權，對應華測醫藥659萬元註冊資本，佔華測醫藥員工持股計劃總規模的20.76%，預留股權應在此次增資事項通過股東大會決議之日起12個月內完成分配並實繳出資。
