雙傑電氣(300444.SZ)：控股子公司天津東皋膜擬與金力股份進行股權及債權置換
格隆匯12月5日丨雙傑電氣(300444.SZ)公佈，隨着國家雙碳目標的確定及碳達峯行動方案的推進，新能源行業發展前景廣闊。為抓住機遇，優化資源配置，公司的控股子公司天津東皋膜技術有限公司(以下簡稱"天津東皋膜"或"標的公司")擬與河北金力新能源科技股份有限公司(以下簡稱"金力股份")進行股權及債權置換。為促成本次交易，公司與天津東皋膜其他股東協商一致，同意置換所得股份的主體部分由雙傑電氣持有。根據金力股份之上市計劃，待金力股份股票未來變現後形成的税後收益，以協議約定方式，優先償還現有債權人對天津東皋膜的債權本息，剩餘收益按照分配比例向各位股東進行分配。截至2020年12月31日，天津東皋膜主要負債為雙傑電氣對天津東皋膜債權4.11億，佔扣除遞延收益後負債合計的88.80%。
北京雙傑電氣股份有限公司、控股子公司天津東皋膜技術有限公司於2021年12月3日與河北金力新能源科技股份有限公司簽署了《關於收購天津東皋膜技術有限公司之合作框架協議》。根據框架協議，金力股份擬收購標的公司全部股權，收購完成後，標的公司將成為金力股份的全資子公司，雙傑電氣及標的公司將協助金力股份達成前述事項。
據悉，金力股份成立於2010年2月5日，是鋰電池濕法隔膜研發、生產、銷售、服務為一體的國家級專精特新重點"小巨人"企業，主要客户包括比亞迪、國軒高科、億緯鋰能、瑞浦能源、CATL、力神電池、微宏動力、海四達等。金力股份2020年隔膜出貨量位居行業前列，屬於隔膜行業內領先的國家級高新技術企業。
公吿稱，此次簽訂《框架協議》擬轉讓天津東皋膜股權，系基於公司業務發展規劃和實際經營需要，有利於優化公司整體資產結構，整合及優化現有資源配置，提高資產流動性和資金使用效率，有利於盤活資產，進一步提升公司的整體盈利能力，符合公司及天津東皋膜發展的長遠利益。此次股權轉讓不存在損害公司和股東，特別是中小股東利益的情形。
