雅居樂集團(03383.HK)：逾2億美元投資威馬集團
格隆匯11月30日丨雅居樂集團(03383.HK)公佈，於2021年11月13日，集團訂立以下協議，公司間接全資附屬公司巨國投資與目標公司WM Motor Holdings Limited的D輪優先股購買協議聯合協議，據此，巨國投資有條件同意認購，而目標公司有條件同意向巨國投資發行1.79億股D輪優先股，現金代價為1.4億美元；及目標公司與巨國投資的威馬股東協議信守契據。
於2021年11月18日，公司間接全資附屬公司鴻昕與目標公司訂立期權協議，據此，目標公司同意授予鴻昕期權(由鴻昕酌情行使)，以要求目標公司有條件發行及轉讓威馬交換股份，代價為5.40億港元(相當於約6943.22萬美元)，此須通過鴻昕將力世紀交換股份(即鴻昕持有的7.94億股力世紀股份，相當於力世紀全部已發行股本的9.95%)轉讓予目標公司進行償付。
於2021年11月30日，鴻昕行使期權，要求目標公司向鴻昕發行及轉讓所有威馬交換股份。
於期權獲行使及該等交易完成後，公司將透過其附屬公司通過該等交易合共收購目標公司已發行股本的約4.42%，連同廣州雅居樂根據威馬上海股份認購協議提早認購威馬上海股份(所有威馬上海認購股份其後已透過重組轉換為9,963,290股A類威馬普通股)，公司將於該等交易完成後通過其附屬公司按全面攤薄及已轉換基準於目標公司股本的約4.58%中擁有權益。
據悉，目標公司為威馬集團附屬公司(包括威馬香港、外商獨資企業及威馬上海)的投資控股公司。威馬集團為中國領先的新能源移動解決方案的新興提供商。目標公司設計、製造及銷售價格實惠的Weltmeister及"威馬汽車"品牌純電動車。威馬集團的車輛配備同類最佳的專有電池管理系統、強勁的行駛里程，及業界領先的自動駕駛及智慧連接功能。
董事會認為，該等交易為集團收購威馬集團股份提供良機，威馬集團為中國最具發展前景的新能源移動解決方案提供商及電動汽車製造商之一。是項投資符合集團繼續實現業務組合多元化的策略，特別是於與集團專注於智慧城市服務及環保相關業務板塊有協同效應的領域。
