ZC TECH GP(08511.HK)：63.585%股權易手致折價逾四成提全購 明日復牌
格隆匯11月25日丨ZC TECH GP(08511.HK)公佈，董事會獲賣方IFG Swans Holding Ltd.通知，聯合要約人(包括鼎域、張志龍及遠盈)、賣方與擔保人吳鏑於2021年11月18日訂立買賣協議，據此聯合要約人已同意購買而賣方已同意出售待售股份，即2.54億股股份，相當於聯合公吿日期公司已發行股本的63.585%，代價為4768.88萬港元(即每股待售股份0.1875港元)。
緊隨完成後，聯合要約人及聯合要約人一致行動人士將擁有總計2.54億股股份權益(其中鼎域將擁有1.40億股股份權益，張志龍將擁有6358.5萬股股份權益；及遠盈將擁有5086.8萬股股份權益)，相當於公司已發行股本的63.585%。按例須作出強制性無條件現金要約，每股要約價為現金0.1875港元，於2021年11月18日收市價折讓約48.63%。
公吿顯示，聯合要約人包括鼎域、張志龍及遠盈，其中鼎域由黃敏智全資擁有，黃敏智擁有逾六年墓地投資及管理、殯葬服務及物業投資經驗。遠盈由何俊傑全資擁有，何俊傑擁有豐富的金融及投資經驗。彼現為中天順聯(國際)控股有限公司(股份代號：0994，為於聯交所主板上市公司)的執行董事及行政總裁。
集團主要於中國從事提供智能製造解決方案，包括銷售設備及提供有關技術服務。
完成後，聯合要約人成為公司的控股股東並擁有公司63.585%的已發行股本。要約完成後，集團主營業務繼續的同時，聯合要約人將協助集團審查其現有能力及資源，以制定詳細的業務計劃及戰略，或開發新商機。根據審查結果，聯合要約人擬利用黃敏智的經驗及知識，探索殯葬服務業務(包括出售墓地及提供墓地維護服務)中的商機，以期為公司創造更好的回報。
此外，公司已向聯交所申請股份於2021年11月26日上午9時正起恢復交易。
