道通科技(688208.SH)：股東海寧嘉慧減持股份及致歉
格隆匯11月8日丨道通科技(688208.SH)公佈，公司於近日收到公司股東浙江海寧嘉慧投資合夥企業(有限合夥)(“海寧嘉慧”)《關於減持公司股票的説明及致歉函》。
海寧嘉慧持有公司首次公開發行限售股1060萬股，約佔公司總股本的2.36%。公司實際控制人李紅京是海寧嘉慧的出資人之一，佔海寧嘉慧出資比例為2.7273%，通過海寧嘉慧間接持有公司28.9091萬股股份，約佔公司總股本的0.0642%。
海寧嘉慧持有的公司股票於2021年2月18日解除限售並上市流通，在限售期滿後，海寧嘉慧陸續對持有的公司股份進行了減持。
2021年10月，海寧嘉慧在進行內部資產自查時發現，2021年9月9日—9月15日，海寧嘉慧因誤操作導致減持李紅京通過海寧嘉慧間接持有的公司28.9091萬股股票，該部分股票的減持均價為78.205元/股，減持金額共計2260.84萬元。
根據承諾，公司實際控制人自公司股票上市之日起36個月內，不得轉讓其直接和間接持有的公司首次公開發行股票前已發行股份。海寧嘉慧此次減持李紅京通過海寧嘉慧間接持有的公司股份系因海寧嘉慧工作人員誤操作導致，在發現誤操作問題後，海寧嘉慧立即進行了補救。海寧嘉慧在公司《2021年第三季度報吿》披露兩個交易日後立即在二級市場合計買入公司28.9091萬股股票，買入均價為64.6680元/股，買入總價共計1869.49萬元，此次買入的股票將全部間接歸屬於李紅京所有。另外，在扣除交易相關税費、手續費及所得税後，海寧嘉慧決定將此次買入股票總金額與減持股票總金額的差價245.08萬元全部上繳公司。
截至公吿披露日，李紅京通過海寧嘉慧間接持有公司28.9091萬股股票，海寧嘉慧將嚴格遵守相關法律法規的規定及相關承諾對該部分股票進行鎖定，在2023年2月13日前不進行任何減持。
海寧嘉慧對此次誤操作進行了深刻反省，並就此次行為給公司造成的負面影響表示誠摯的歉意。海寧嘉慧將加強對《中華人民共和國證券法》《上市公司股東、董監高減持股份的若干規定》《上海證券交易所科創板股票上市規則》《上海證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則》等相關法律、法規和規範性文件的學習並嚴格遵守，加強對公司股票證券賬户的管理，堅決杜絕此類事情的再次發生。
