中原內配(002448.SZ)：擬以1250萬元參股天朤氫能源公司
格隆匯11月7日丨中原內配(002448.SZ)公佈，2021年11月5日，公司與天朤(江蘇)氫能源科技有限公司(“天朤氫能源公司”或“目標公司”)及其全體股東簽訂《關於參股天朤(江蘇)氫能源科技有限公司之增資協議》，公司擬使用自有資金1250萬元向目標公司增資。其中，人民幣258.62萬元認購目標公司新增註冊資本258.62萬元，人民幣991.38萬元為溢價款，計入目標公司的資本公積。此次增資完成後，公司將持有目標公司20%的股權。
目標公司成立於2020年6月，位於蘇州高鐵新城長三角國際研發社區，主要從事氫能源技術核心零部件的研發、生產和銷售，其核心產品包括燃料電池系統領域的加濕器和去離子器、冷卻系統温度流量控制器、醫療器械領域濕化罐、供氧供氫機等。公司核心團隊成員擁有氫能領域豐富的從業經驗、研發經驗及自主創新能力；目標公司擁有來自北大蘇南院、東華大學、上海交通大學、清華大學等技術顧問團隊，並在韓國設立了研發機構，充分利用韓國在加濕器工程化方面的基礎優勢進行技術研發，積極推進與國內高校的產學研合作，結合國內在膜材料以及成品集成方面的自有技術，合力研發氫燃料電池膜加濕器。
天朤氫能源公司主要產品為氫能源燃料電池膜加濕器，其作為燃料電池系統BOP核心零部件之一，是影響燃料電池系統工作性能的重要部件。天朤氫能源公司現已開發的第一代產品，對標國際領先同類產品，其加濕性能優良、體積更小、壽命更長、成本更低。憑藉其明顯優勢，天朤氫能源公司目前已與國內20餘家氫能主流企業建立業務聯繫。
此次對目標公司進行增資符合國家對新能源汽車“三縱三橫”戰略佈局，符合公司“三大發展戰略”，系公司戰略執行的重要一步，是公司在新能源及燃料電池業務領域戰略佈局的重要舉措，有利於拓展公司未來發展空間，增強公司的可持續發展能力，符合公司長期發展戰略。
