博世科(300422.SZ)：廣州環投集團擬將增持的不符合豁免要約條件的82.96萬股予以減持
格隆匯11月6日丨博世科(300422.SZ)公佈，廣州環投集團於2021年9月以現金方式認購公司向特定對象發行股票99,155,880股，此次發行完成前，廣州環投集團直接持有上市公司股份比例為13.73%，發行完成後，廣州環投集團直接持有上市公司股份比例為30.67%(以截至2021年10月25日公司總股本計算)。此次向特定對象發行股份相關事項以及廣州環投集團免於發出收購要約事項已經公司2020年年度股東大會審議通過。此次發行新增股份已於2021年10月25日在深圳證券交易所上市。
根據《上市公司收購管理辦法(2020年修訂)》第二十四條“通過證券交易所的證券交易，收購人持有一個上市公司的股份達到該公司已發行股份的30%時，繼續增持股份的，應當採取要約方式進行，發出全面要約或者部分要約”及第六十三條“在一個上市公司中擁有權益的股份達到或者超過該公司已發行股份的30%的，自上述事實發生之日起一年後，每12個月內增持不超過該公司已發行的2%的股份”等相關規定，廣州環投集團因認購上市公司向特定對象發行股票後持股比例超過30%，客觀導致其無法在承諾期限內完成此次增持計劃。
廣州環投集團為繼續實施增持計劃，在直接持股比例超30%後，於2021年10月28日至29日期間合計增持公司股份82.96萬股，佔截至目前公司總股本的0.16%。通過對法律法規的學習和理解，廣州環投集團認為其在持股比例達到30%後繼續通過證券交易所交易系統增持股份的行為不符合《上市公司收購管理辦法（2020年修訂）》第二十四條、第六十三條的相關規定。經過審慎研究，廣州環投集團向公司發出《關於增持博世科股份計劃實施期限屆滿及部分已增持股份處置計劃的通知》，其承諾在此次最後一筆增持交易完成(2021年10月29日)六個月後的兩個月內通過深圳證券交易所證券交易系統將此次增持的不符合豁免要約條件的股份予以減持，並將產生的收益上交上市公司。
擬減持數量82.96萬股；實施時間為2022年4月29日至6月29日(法律、法規和深圳證券交易所業務規則等有關規定不準減持的期間除外)。
