華人置業(00127.HK)獲Solar Bright Ltd溢價83.5%提私有化 10月7日復牌
格隆匯10月6日丨華人置業(00127.HK)公吿，要約人Solar Bright Ltd及公司聯合公佈，於2021年9月28日，要約人Solar Bright Ltd要求董事會向計劃股東提呈根據公司法第99條透過計劃方案將公司私有化該建議。
於該建議完成後，要約人Solar Bright Ltd、Century Frontier及JLLH Investments將持有公司全部已發行股本，而股份於聯交所的上市地位將被撤回。
要約人為一間於英屬維爾京羣島註冊成立商業有限公司，併為一間投資控股公司。要約人由Sino Omen Holdings Limited直接全資擁有，而Sino Omen Holdings Limited 則由陳凱韻(作為其未成年子女的信託人)持有。要約人的主要資產為其持有的股份。要約人董事為陳凱韻及陳詩韻。
該建議將透過該計劃實行。倘該建議獲批准及實行：(a)計劃股東持有的所有計劃股份將予註銷，換取以現金支付每股已註銷計劃股份註銷價4.00港元；(b)於註銷計劃股份的同時，公司將透過向要約人發行相當於已註銷計劃股份數目的新股份(入賬列作繳足)，以維持於緊接註銷計劃股份前的已發行股本數目，並將因註銷計劃股份而產生的進賬額用作按面值全數繳足該等新股份；(c)公司將由(i)要約人擁有約62.92%及(ii)Century Frontier及JLLH Investments(各自為要約人一致行動人士)分別擁有約24.97%及約12.11%；及(d)公司將根據上市規則第6.15條向聯交所申請撤回股份於聯交所的上市地位，以使有關撤回於緊隨生效日期後發生。
根據該計劃，倘該計劃生效，則計劃股東將就每股已註銷計劃股份向要約人以現金收取註銷價4.00港元(較股份於最後完整交易日在聯交所所報收市價每股2.18港元溢價約83.5%)，作為註銷計劃股份的代價。
按上述基準該建議項下的最高應付現金代價總額為19.08億港元，而要約人擬以其內部現金資源籌措該建議所需現金。西證(香港)融資有限公司(作為要約人的財務顧問)信納要約人具備充足財務資源支付所需的現金代價最高金額以落實該建議。
於該計劃生效後，所有計劃股份將予註銷，而計劃股份的股票其後將不再具有作為所有權文件或憑證的效力。公司將根據上市規則第6.15條申請撤回股份於聯交所的上市地位，以使有關撤回於緊隨生效日期後發生。
一旦實行該建議，要約人擬於公司成功私有化後維持集團現有業務。要約人無意將股份於其他市場上市，亦無意對集團業務及集團僱員的僱傭關係作出重大變更，惟要約人於審視其有關集團業務、架構及╱或方向的策略後可能不時作出的變更除外。
公司已向聯交所申請股份自2021年10月7日上午九時正起於聯交所恢復買賣。
