鼎石資本(00804.HK)獲富盈國際溢價約11.75%提收購要約
格隆匯9月30日丨鼎石資本(00804.HK)公吿，於2021年9月30日，兩名賣方與買方富盈國際發展有限公司訂立買賣協議，買方已有條件同意收購銷售股份（其中14.62億股股份來自第一賣方，而8.02億股股份則來自第二賣方）（相當於公司在本聯合公吿日期已發行股本總額約50.18%），總現金代價為1.8億港元，即每股銷售股份0.07934港元。
完成後，要約人將擁有合共22.64億股股份，佔公司全部已發行股本約50.18%。根據收購守則規則26.1，於完成後，要約人須就全部已發行股份作出無條件強制性現金要約。每股要約股份0.07934港元，較2021年9月30日收市價每股0.071港元溢價約11.75%。
要約人為於2021年3月31日在英屬處女羣島註冊成立的投資控股有限公司，其股份由一家投資控股公司富盈國際投資有限公司（由一家投資控股公司富盈國際控股有限公司全資擁有，而富盈國際控股有限公司則由劉學斌先生全資擁有）擁有69%、由一家投資控股公司正軒投資有限公司（由劉傑軒先生全資擁有）擁有15%、由一家投資控股公司璧合灣區投資有限公司（由劉燕歡女士全資擁有）擁有7%、由一家投資控股公司聯民拓展投資有限公司（由王妙嬋女士全資擁有）擁有5%、由一家投資控股公司儁逸控股有限公司（由高頌妍女士全資擁有）擁有3%以及由一家投資控股公司軒程有限公司（由伍滿英女士全資擁有）擁有1%。要約人及其最終實益擁有人為獨立第三方。
要約人的意向為維持且於股份要約完成後繼續經營公司現有主營業務。要約人確認，即使有合適機會出現，其無意於要約期內進一步拓展及╱或出售公司現有業務。
要約人相信，憑藉要約人最終實益擁有人從不同商業領域（包括中國（尤其大灣區）高端民辦教育業務、為國內大學生而設的海外教育服務、旅遊酒店管理和房地產發展）累積管理經驗獲得的企業管理實戰經驗和覆蓋遼闊的業務網絡，集團的客户基礎將有所擴大，集團在現有業務範疇內開拓其他商機的能力亦會提升。
