徐工機械(000425.SZ)：擬發行股份吸收合併徐工有限
格隆匯9月29日丨徐工機械(000425.SZ)公佈，公司擬向徐工有限的全體股東徐工集團、天津茂信、上海勝超、國信集團、建信投資、金石彭衡、杭州雙百、寧波創翰、交銀金投、國家制造業基金、寧波創績、徐工金帆、福州興睿和盛、河南工融金投、上海港通、天津民樸厚德、中信保誠發行股份吸收合併徐工有限。上市公司為吸收合併方，徐工有限為被吸收合併方。
此次吸收合併完成後，上市公司作為存續公司承繼及承接徐工有限的全部資產、負債、業務、人員及其他一切權利與義務，徐工有限的法人資格將被註銷，徐工有限在本次交易前持有的上市公司股份將被註銷，徐工集團、天津茂信、上海勝超、國信集團、建信投資、金石彭衡、杭州雙百、寧波創翰、交銀金投、國家制造業基金、寧波創績、徐工金帆、福州興睿和盛、河南工融金投、上海港通、天津民樸厚德和中信保誠將持有吸收合併後上市公司的相應股份。
因徐工有限在此次交易的過渡期間進行了235,241.82萬元的分紅，此次交易對價在經江蘇省國資委備案的《徐工有限資產評估報吿》所載標的評估結果基礎上相應調減，經各方一致確定徐工有限100%股權的最終交易價格為3,868,618.29萬元，由徐工機械以發行股份的方式支付此次交易的全部交易對價。
此次交易中標的資產作價3,868,618.29萬元，按照發行價格5.55元/股計算，發行股份數量為6,970,483,397股。此次交易後，徐工有限持有的全部徐工機械股票將被註銷。
此次交易前，公司的主營業務為起重機械、鏟運機械、壓實機械、路面機械、樁工機械、消防機械、環衞機械和其他工程機械及備件的研發、製造、銷售和服務工作。此次交易完成後，公司將承接及承繼被合併方徐工有限的全部資產、負債、業務、人員及其他一切權利與義務，徐工有限旗下挖掘機械、混凝土機械、礦業機械、塔式起重機等工程機械生產配套資產將整體注入上市公司，有利於優化產業結構、完善產業佈局。上市公司未來將通過優良的管理經驗，進一步提升盈利能力和資產規模，為上市公司的持續經營提供堅實保障。
