安德利(603031.SH)：擬購買亞錦科技36%股權及出售安德利工貿100%股權 以向電池行業轉型
格隆匯9月29日丨安德利(603031.SH)公佈重大資產購買及重大資產出售暨關聯交易預案，公司擬以支付現金的方式向寧波亞豐購買其持有的亞錦科技36%的股權，並以現金方式向陳學高出售所持安德利工貿100%股權，之後寧波亞豐將其持有的5.63億股股份(佔亞錦科技總股本的15%)對應的表決權不可撤銷地委託給安德利行使。
各方初步同意，亞錦科技36%的股權轉讓對價暫定為24.56億元。公司擬新設控股子公司作為本次購買亞錦科技36%股權的購買主體。
參考截至 2021年6月30日安德利工貿賬面淨資產10.73億元，本次擬出售安德利工貿100%股權價格暫定不低於10.73億元。
本次交易前，上市公司主要從事百貨零售業務，包括購物中心、超市、家電專業店等。新冠疫情對百貨零售實體造成巨大沖擊，同時伴隨消費升級，線上線下一體化等新零售模式的湧現，作為區域性百貨零售企業，公司積極轉變以超市為中心，加速網點佈局、區域拓展，但依然面臨較大的業務轉型和升級壓力。2020年以來，公司收入、利潤均呈現下滑趨勢。
亞錦科技核心資產為其控制的南孚電池，南孚電池主要從事電池的研發、生產、銷售。作為國內先進的電池科技公司，南孚電池專注於電池行業，通過保持穩定領先的產品性能，以及對於國內電池零售市場的深耕細作，堅持以科技為先導、以產品為重心、以客户為中心，南孚電池在國內鹼性電池市場佔有較大優勢。“南孚牌”鹼錳電池產品連續二十八年(1993年-2020年)在中國市場銷量第一。在國內鹼性電池市場，“南孚”牌電池的市場佔有率和市場影響力較高，具備明顯的市場領先優勢。
本次交易是上市公司在原有業務面臨轉型升級壓力背景下，為了改善上市公司的經營狀況、增強公司的盈利能力而進行的交易。通過本次交易，上市公司將實現從傳統的百貨零售行業向市場規模龐大、發展前景廣闊的電池行業的轉型，快速切入優質賽道，並取得較為領先的市場地位，帶來穩定的營業收入和利潤，有利於提升公司的資產質量、整體持續盈利能力和未來發展潛力。
南孚電池已經引入了管理層持股平台並持有南孚電池部分股份，公司未來將進一步完善亞錦科技及南孚電池的治理結構和管理制度，引入與市場相適應的薪酬及激勵制度；同時，公司將在本次交易完成後儘快啟動收購其他少數股東(包括南孚電池管理層的持股平台)持有的南孚電池股份，進而實現對南孚電池的完全控制,並保證公司經營團隊和業務的穩定性。
