海峽股份(002320.SZ)：擬與徐聞海峽組建瓊州海峽(海南)輪渡運輸 實現瓊州海峽兩岸航運業務的一體化運營
格隆匯9月28日丨海峽股份(002320.SZ)公佈，此次交易以2021年5月31日為評估基準日，徐聞海峽以29艘船舶及其附屬資產，海峽輪渡以18艘船舶及其附屬設備及現金人民幣4159.84萬元，共同出資在海口市新設合資公司瓊州海峽(海南)輪渡運輸有限公司(最終以市場監督管理部門核准的名稱為準)。
上市公司將通過海峽輪渡取得合資公司40%股權，徐聞海峽將取得合資公司60%股權。徐聞海峽將對合資公司的11%股權享有的股東權利中的表決權(包括提議召開股東會及向股東會提出提案並表決等的權利，下同)自合資公司成立之日起全權委託海峽輪渡行使，海峽輪渡擁有對合資公司的51%表決權，對合資公司實際控制併合並財務報表，該等表決權委託不影響徐聞海峽享有其他包括但不限於分紅權等股東權利。未經另一方書面同意，任何一方均不得單方面變更、解除、撤銷上述表決權委託安排或轉讓已委託表決權的股權，否則該等行為無效。
根據經廣東省港航集團備案的《瓊州海峽航運資源整合所涉及的廣東徐聞海峽航運有限公司擬出資的“雙泰36”等29艘客滾船舶及其附屬資產價值資產評估報吿》(中通評報字[2021]12261 號)，以2021年5月31日為評估基準日，徐聞海峽持有的29艘船舶及其附屬資產的評估值(含税)為202,761.36 萬元。
根據經中遠海運集團備案的《瓊州海峽航運資源整合所涉及的海南海峽輪渡運輸有限公司擬出資的“信海12 號”等18 艘客滾船舶及其附屬設備價值資產評估報吿》(中通評報字[2021]12260 號)，以2021年5月31日為評估基準日，海峽輪渡持有的18艘船舶及其附屬設備的評估值(含税)為131,014.4萬元。
上市公司主營業務為船舶運輸和輪渡港口服務，主要經營海口至海安、海口至北海客滾運輸航線、海口(三亞)至西沙旅遊客運航線，以及新海港和秀英港輪渡港口服務業務，目前擁有21艘船舶，其中18艘船舶運營海口至海安航線。徐聞海峽主要負責運營廣東徐聞港、海安新港往返海口新海港、秀英港客滾輪渡運輸航線，目前擁有29艘船舶。此次交易完成後，上市公司將進一步整合徐聞海峽29艘船舶資產，實現瓊州海峽兩岸的航運業務的一體化運營，有助於提升港航資源運營與通行效率，具有顯著的協同效應。
