先豐服務集團(00500.HK)擬收購DeWe Security全部股權及發行2.1億港元可換股債券
格隆匯9月23日丨先豐服務集團(00500.HK)發佈公吿，於2021年9月23日，公司、買方先豐安保服務（亞洲）有限公司（公司全資附屬公司）及賣方訂立收購協議，據此，買方有條件同意向賣方收購目標公司DeWe Security Limited全部已發行股本，初步代價2億港元將以現金支付，及最高遞延代價3億港元將以發行代價股份支付。最高2.3億股代價股份佔本公吿日期已發行股份約9.84%及經配發及發行代價股份擴大已發行股份約8.96%。代價股份的發行價為每股1.30港元。代價股份將根據一般授權配發及發行。
同日，公司分別與各認購人訂立認購協議，根據認購協議，公司有條件同意發行，而認購人有條件同意認購本金總額為2.1億港元的可換股債券，可於悉數轉換後根據每股換股股份1.00港元的初步換股價轉換為2.1億股換股股份。換股股份佔本公吿日期已發行股份約8.96%，及經緊隨可換股債券按初步換股價悉數轉換後配發及發行換股股份擴大已發行股份約8.22%。公司擬將認購事項所得款項淨額用作支付收購事項的初步代價及集團的一般營運資金。
目標集團主要從事兩項主要業務，(i)安保及護衞服務；及(ii)醫療保健及救援服務。目標集團的安保及護衞服務分部涉及為香港的企業及私人客户提供全方位的安保解決方案。目標集團擁有全部三種受香港保安局管轄的保安牌照，即第一類、第二類及第三類保安牌照，分別涵蓋：提供保安護衞服務；提供武裝運送服務；及安裝、保養及╱或修理保安裝置及╱或（為個別處所或地方）設計附有保安裝置的系統。此分部亦為海外的中資企業提供全方位的安保解決方案，包括公共安全諮詢顧問、公共安全培訓、海外現場公共安全管理、公共安全科技保障等。該分部的管理團隊在為政商兩界以及有安全風險的海外中資企業提供安保服務方面擁有豐富的經驗及資歷。
目標集團的醫療保健及救援服務分部提供創新的智慧醫療解決方案，包括向香港及海外患者提供一般及專科腫瘤服務、疫苗接種、遠程醫療，及緊急救援服務。該分部由經驗豐富的執業醫師團隊領導。
於收購事項完成後，李曉鵬先生將負責集團相關業務的整體發展及營運。李先生有近30年的安保、管理、法律及投資相關經驗，其經驗涵蓋包括安保、文化、投資及貿易等多個行業，是德威安保集團創始人。彼曾在北京市公安局、公安部、奧組委、香港、澳門中聯辦工作；畢業於中國公安大學法律系，擁有法學學士學位，中央黨校工商管理碩士學位，曾在伊利諾伊大學香檳分校學習高級管理課程。
董事會相信收購事項將使集團與李先生強強聯合，優勢互補，在市場競爭中脱穎而出，提升市場佔有率。透過收購事項，集團不僅增加了安保護衞板塊的市場佔有率，亦將增加創新智慧醫療解決方案板塊，能夠全方位的滿足客户安保、醫療需求，為海外中資企業機構、海外中國人提供全方位的安保、醫療及救援解決方案。
