浙商中拓(000906.SZ)：擬將煤焦一部進行公司化運作並實施管理團隊持股
格隆匯9月17日丨浙商中拓(000906.SZ)公佈，公司為整合進口煤焦資源，滿足公司煤焦貿工結合項目的投資需求，擬將公司煤焦一部進行公司化運作，設立浙商中拓(北京)國際供應鏈管理有限公司(“北京中拓”)，以進一步加強與國內外礦山、鋼廠的深度合作，加快吸引外部優質進口煤焦原料人才，不斷提升市場競爭力。
北京中拓擬實施團隊持股，由煤焦一部管理團隊核心人員出資設立北京惟衡企業管理合夥企業(有限合夥)(籌)(以工商註冊核準名稱為準，“合夥企業”)參股北京中拓。北京中拓注冊資本暫定2億元，其中公司擬出資1.8億元，持股90%；合夥企業出資2000萬元，持股10%。
煤焦主要是供方市場，雖然我國是煤炭生產大國，但相較於內貿煤，外貿煤炭的品質更穩定並且在價格端也具有一定優勢。公司煤焦一部自成立以來一直深耕進口煤業務，其中外貿煤中的俄羅斯資源是煤焦一部最重要的資源渠道，佔煤焦一部總煤焦採購量 60%以上。近年來煤焦一部通過不斷維護和完善與環渤海、東北、河北地區的重點鋼廠的合作，在華北市場和東北市場已經擁有一定的市場知名度，是爐料事業部中較為出色的焦煤業務團隊。為抓住國際國內“兩種資源、兩個市場”藴藏的市場機遇，更好地進行國外煤焦資源開拓與整合，同時為充分激發團隊積極性，提升團隊市場開拓能力，公司擬將煤焦一部進行實體化運作並實施管理團隊持股。
業務模式：北京中拓業務模式主要分為股權投資、進口港口分銷、原料代銷代採以及港口選配加工銷售，盈利模式為投資收益、購銷差價和供應鏈集成服務費。投資收益主要指與上下游客户等戰略合作伙伴通過參股或控股設立子公司獲取的利潤分配收益。購銷差價主要指通過“以銷定採”的方式獲取價差收益；供應鏈集成服務費主要指中拓北京中拓為上下游客户提供的供應鏈金融、選配煤加工等集成服務收益。
此次投資設立北京中拓，有利於公司煤焦一部整合進口煤焦資源，開展產業鏈股權投資和貿工結合項目投資，加強與國內外礦山、鋼廠的深度合作，為將公司打造成為“上控資源，下控網絡”的生產資料供應鏈集成服務商奠定基礎；同時通過公司化運作，可加快吸引外部優質進口煤焦原料人才，進一步提升市場競爭力。
