藍曉科技(300487.SZ)：擬以對錦泰鉀肥2億元債權 認購其增資後4.3908%的股權
格隆匯9月17日丨藍曉科技(300487.SZ)公佈，公司(“甲方”)與青海錦泰鉀肥有限公司(“錦泰鉀肥”或“乙方”)、李世文(“丙方1”)、青海富康礦業資產管理有限公司(“富康礦業”或“丙方2”)於2021年9月17日共同簽訂了《關於青海錦泰鉀肥有限公司增資協議》，公司作為戰略投資者以對錦泰鉀肥2億元債權認購錦泰鉀肥增資後4.3908%的股權，對應889萬元新增註冊資本。
參考深圳市鵬信資產評估土地房地產估價有限公司2021年4月6日出具的資產評估報吿(鵬信資評報字[2021]第 S041號)，青海錦泰鉀肥有限公司股東權益於評估基準日2020年12月31日的市場價值為26.2億元。經參與增資各戰略投資者協商溝通，錦泰鉀肥投前估值人民幣27億元。
此交易前，公司未持有錦泰鉀肥股權；此次交易後，公司持有錦泰鉀肥4.3908%股權(對應持有錦泰鉀肥889萬元註冊資本)。
錦泰鉀肥擁有巴倫馬海湖(採礦權面積197.96平方公里、探礦權174.14平方公里)的鹽湖，滷水中鉀、鋰資源豐富，已開採鉀肥多年，具有良好的盈利能力且擁有穩定的現金流。青海錦泰鉀肥有限公司全資子公司錦泰鋰業有限公司(“錦泰鋰業”)，主營業務為氯化鋰、碳酸鋰、硼、溴的生產、加工、銷售。為了充分發揮礦區鋰資源的效益，錦泰鋰業規劃了10000t/a碳酸鋰項目，該項目位於冷湖行委巴倫馬海礦區，投資總額9.63億元，2016年10月取得青海省海西州工信廳備案，2017年6月取得海西州環保局的環境影響評價批覆，項目各項手續齊全。由公司為其建設運營的3000t/a碳酸鋰生產線正在持續穩定運行，並自2020 年起已產出碳酸鋰並實現銷售。
此次投資對於公司進一步優化涉鋰產業鏈業務佈局，構建提鋰技術優化升級平台，與鋰資源行業優秀公司建立合作關係具有積極意義，符合公司發展戰略及整體利益。同時有助於公司資金的快速回籠，分享上游鋰資源紅利。
