匯納科技(300609.SZ)：擬收購多融科技40%股權及協議獲取多融科技60%表決權
格隆匯9月17日丨匯納科技(300609.SZ)公佈，公司擬以股權收購和簽署表決權委託協議相結合的方式收購上海多融科技發展有限公司(“多融科技”、“目標公司”)。
公司擬與多融科技股東紀錕(“乙方(一)”、“委託方”)、張立松(“乙方(二)”)、祝麗萍(“乙方(三)”)、金偉(“乙方(四)”，紀錕、張立松、祝麗萍、金偉合稱“乙方”、“轉讓方”)簽署《關於上海多融科技發展有限公司之股權收購協議》，公司擬分別收購紀錕、張立松、祝麗萍、金偉持有的多融科技17%、9%、9%、5%股權，交易對價分別為人民幣1700萬元、人民幣900萬元、人民幣900萬元、人民幣500萬元。公司合計收購多融科技股權比例為40%，合計交易對價為人民幣4000萬元。
本次股權收購完成後，公司將持有多融科技40%股權，並根據《股權收購協議》相關安排，將擁有多融科技董事會半數以上董事席位。
公司擬與紀錕簽署關於多融科技的《表決權委託協議》，紀錕將其持有的除《股權收購協議》所涉標的股份以外的多融科技20%股權對應的表決權不可撤銷的委託給公司代為行使。本次表決權委託協議簽署後，公司將持有多融科技20%股權對應的表決權。
根據公司上述交易安排，本次交易完成後，公司將合計持有多融科技60%表決權、40%股權，並擁有多融科技董事會半數以上董事席位。公司將獲得多融科技控制權，多融科技將成為公司控股子公司。
多融科技目前主要產品和服務為數據法院信息化系統的開發與集成實施服務和智慧金融大數據管理信息化系統的開發與集成實施服務。收購多融科技有利於加快公司集團化發展步伐。
多融科技在法院和金融信息化領域具有較為豐富的客户資源積累和行業解決方案。通過深挖多融科技客户需求，可以拓展公司成熟產品和服務能力在法院和金融領域的推廣和應用，將公司人工智能和大數據技術全面賦能法院、金融行業，實現公司在法院、金融等領域的業務突破和能力提升，進一步優化公司的業務結構。
收購多融科技後，公司將充分整合多融科技的產品能力、系統集成能力，結合公司在智能傳感和大數據領域自主可控的產品研發體系，完善公司在服務“數字中國”戰略中所需的能力和資質體系，逐步建立公司在信息技術應用創新產業領域的技術優勢，為公司開拓更多領域的業務夯實基礎。
