麥捷科技(300319.SZ)擬推2200萬股2021年限制性股票激勵計劃
格隆匯9月14日丨麥捷科技(300319.SZ)發佈2021年限制性股票激勵計劃(草案)，擬授予激勵對象的限制性股票數量為2200萬股，約佔草案公吿日公司股本總額的2.58%。其中，首次授予限制性股票總數為1908.5萬股，佔擬授出限制性股票總數的86.75%，約佔草案公吿日公司股本總額的2.24%；預留291.5萬股，佔擬授予限制性股票總數的13.25%，約佔草案公吿日公司股本總額的0.34%。
其中，第一類限制性股票880萬股，約佔草案公吿日公司股本總額的1.03%。其中，首次授予的第一類限制性股票763.4萬股，約佔草案公吿日公司股本總額的0.89%，佔擬授予第一類限制性股票總數的 86.75%；預留的第一類限制性股票116.6萬股，約佔草案公吿日公司股本總額的 0.14% ，佔擬授予第一類限制性股票總數的13.25%。
第二類限制性股票1320萬股，約佔草案公吿日公司股本總額的1.55%。其中，首次授予的第二類限制性股票1145.1萬股，約佔草案公吿日公司股本總額的1.34%，佔擬授予第二類限制性股票總數的86.75%；預留的第二類限制性股票174.9萬股，約佔草案公吿日公司股本總額的0.20%，佔擬授予第二類限制性股票總數的13.25%。
該激勵計劃首次授予的激勵對象共計327人，包括公司公吿本激勵計劃時在公司(含子公司，下同)任職的董事、高級管理人員、核心技術(業務)人員。除持股 5%以上股東、董事、總經理張美蓉以外，不含麥捷科技獨立董事、監事、單獨或合計持股5%以上的股東或實際控制人及其配偶、父母、子女。
該激勵計劃首次授予的第一類限制性股票的授予價格為6.63元/股，首次授予的第二類限制性股票的授予價格為6.63元/股；預留部分限制性股票授予價格與首次授予的限制性股票價格相同。在本激勵計劃公吿當日至激勵對象獲授的第一類限制性股票完成登記或獲授的第二類限制性股票完成歸屬登記前，若公司發生資本公積轉增股本、派發股票紅利、派息、股份拆細或縮股、配股等事宜，限制性股票的授予價格和/或數量將根據本激勵計劃做相應的調整。
