川恆股份(002895.SZ)：天一礦業、隔山榔磷礦探礦權的勘探均不屬於高耗能高排放行業
格隆匯9月8日丨川恆股份(002895.SZ)公佈，公司對天一礦業增資、福麟礦業參與探礦權競拍是否涉及對外投資高耗能高排放行業進行自查，並聘請國浩律師(天津)事務所對公司投資項目是否屬於高耗能高排放項目進行核查。公司及律師現已完成相關工作，就相關核查情況説明如下：
1、公司業已完成自查工作，相關情況説明如下：
(1)天一礦業不屬於高耗能高排放行業，公司對天一礦業增資不屬於投資高耗能高排放項目。天一礦業已取得甕安縣玉華鄉老虎洞磷礦的《採礦許可證》，已辦理項目備案，已取得貴州省甕安縣玉華鄉老虎洞磷礦採選工程項目環評批復、安全預評價報吿評審意見、安全設施設計審查意見，目前該磷礦石採選工程項目尚在建設中，待建設項目竣工後辦理環境保護設施驗收和安全設施驗收，並辦理排污許可證、安全生產許可證。
(2)隔山榔磷礦探礦權的勘探不屬於高耗能高排放行業，福麟礦業參與隔山榔磷礦探礦權競拍不屬於投資高耗能高排放項目。福麟礦業取得隔山榔磷礦探礦權還需參與該探礦權競買，競得後方可與貴州省自然資源廳簽訂《貴州省探礦權出讓合同》，並根據合同約定辦理勘查許可證和支付探礦權出讓價款。
2、國浩律師(天津)事務所對相關文件和事實進行了核查和驗證，並出具法律意見書，結論意見如下：
(1)天一礦業不屬於高耗能高排放行業，川恆股份對天一礦業增資不屬於投資高耗能高排放項目。天一礦業已取得了甕安縣玉華鄉老虎洞磷礦的《採礦許可證》，已辦理了項目備案，取得了貴州省甕安縣玉華鄉老虎洞磷礦採選工程項目環評批覆、安全預評價報吿評審意見、安全設施設計審查意見，目前該磷礦石採選工程項目尚在建設中，建設項目竣工後還應辦理環境保護設施驗收和安全設施驗收，並辦理排污許可證、安全生產許可證。
(2)隔山榔磷礦探礦權的勘探不屬於高耗能高排放行業，福麟礦業參與隔山榔磷礦探礦權競拍不屬於投資高耗能高排放項目。福麟礦業取得隔山榔磷礦探礦權還需要參與貴州省福泉市道坪鎮隔山榔磷礦探礦權掛牌出讓的競買，競得後與貴州省自然資源廳簽訂《貴州省探礦權出讓合同》，並根據合同約定辦理勘查許可證和支付探礦權出讓價款。
