世紀睿科(01450.HK)獲Golden Ocean Holdings Corp.折讓71%提收購要約
格隆匯7月30日丨世紀睿科(01450.HK)公吿，董事會獲吿知公司主席、執行董事兼控股股東盧志森先生（目前透過由盧先生全資擁有的Cerulean Coast Limited持有公司全部已發行股本約64.11%）及執行董事梁榮輝先生（目前透過由梁先生全資擁有的Future Miracle Limited持有公司全部已發行股本約5.76%）計劃可能出售Cerulean Coast Limited及Future Miracle Limited持有的全部或部分股份予若干名獨立第三方。
於2021年7月30日，賣方1 Cerulean Coast Limited、賣方2指 Future Miracle Limited與該等買方（買方1指Starlink Vibrant Holdings Ltd、買方2指Yoshiaki Holding Corp、買方3指Orange Grove Global Limited、買方4指Foga Holdings Ltd.）訂立買賣協議，據此，該等賣方已有條件同意出售而該等買方已有條件同意購買6.8億股，代價為1.07億港元（相當於每股銷售股份約0.1570港元）。
此外，認購人1 Silver Eternity Technology Ltd.、認購人2 Trinity Gate Limited及認購人3 Hongshan Limited與公司訂立認購協議，據此，公司已有條件同意按初步換股價每股換股股份0.23港元發行4700萬港元的可換股債券。
於收購事項完成後，買方1將成為公司的控股股東，預期其將於公司已發行股本總額中直接擁有約31.07%權益，而要約人及其一致行動人士將於公司已發行股本總額中擁有約68.44%權益。
假設除發行所有換股股份外，公司已發行股本自本聯合公吿日期至可換股債券轉換日期止並無變動，於收購事項完成日期及認購事項完成日期後及緊隨所有換股股份發行後，要約人Golden Ocean Holdings Corp.及其一致行動人士將於合共9.17億股股份中擁有權益，相當於公司已發行股本約73.62%。
緊隨收購事項完成後，要約人及其一致行動人士將於合共7.13億股股份中擁有權益，相當於公司已發行股本約68.44%。根據收購守則規則26.1，待收購事項完成後，買方1將須就獨立股東持有的所有已發行股份以現金作出強制性無條件全面要約。每股要約股份0.23港元現金，較7月30日收市價0.8港元折讓71%。
要約人的意向為集團將繼續以大致現況經營其業務。要約人為一間於開曼羣島註冊成立的公司。其由買方1、LiXiang全資擁有的Galaxy Forever Investments Limited及Xiao Xin全資擁有的認購人1分別持有90%、5%及5%權益。要約人的主要業務為投資控股。
