華商國際海洋控股(00206.HK)：因股權變更，叢永儉及任志強辭任董事
格隆匯7月19日丨華商國際海洋控股(00206.HK)宣佈，因股權變更後的職務調配，叢永儉已辭任公司執行董事及首席執行官；及任志強已辭任非執行董事，自2021年7月19日起生效。
公司獲招商局工業吿知，於2021年7月19日，GWI InvestmentV、CMU (BVI)及一名獨立少數有限合夥人已將其於招商局長城海洋科技戰略發展產業基金("基金有限合夥人")的所有有限合夥權益轉讓予招商局工業集團有限公司("招商局工業")；及(ii)China Great Bay Area Fund Management Company Limited、CMU (BVI)及中國長城資產(國際)控股有限公司("中國長城資產")轉讓彼等於招商長城合夥人有限公司("普通合夥人")(基金有限合夥人的普通合夥人)的全部股權予招商局工業。
於公吿日期，基金有限合夥人通過其全資附屬公司Prime ForceInvestment Corporation持有1,530,372,000股公司股份(佔公司已發行股本約47.18%)。股權變更後，招商局工業持有基金有限合夥人的約99.96%有限合夥權益及普通合夥人100%股權。由於中國長城資產、GWI InvestmentV及彼等之控股股東不再於基金有限合夥人及普通合夥人擁有權益，因此彼等不再於公司股份中擁有任何權益(定義見證券及期貨條例(香港法例第571章)第XV部)。於公吿日期，招商局集團有限公司間接控制基金有限合夥人的約99.96%有限合夥權益及普通合夥人全部股權，因此為公司控股股東及最終實益擁有人。公司獲招商局工業吿知，證券及期貨事務監察委員會企業融資部執行董事已根據公司收購、合併及股份回購守則規則26.1註釋8確認，招商局工業將不會因股權變更而觸發全面要約責任。
