格隆匯7月14日丨南山控股(002314.SZ)公佈,為進一步增加粵港澳大灣區的優質土地資源儲備,提升上市公司經營業績南山控股擬以自有資金人民幣307,776.93萬元深圳市海城錦實業發展有限公司(“海城錦)增資並取得其51.0204%股權,增資事項完成後公司將獲得海城錦持有的赤灣地鐵站城市綜合體項目的實際控制權。

錦為公司控股股東中國南山開發(集團)股份有限公司(南山集團)全資子公司,根據《深圳證券交易所股票上市規則》的相關規定,此次交易構成關聯交易。

海城錦持有的赤灣地鐵站城市綜合體項目(赤灣匯廣場),位於南山集團總部大廈以北、小南山隧道東側,赤灣地鐵站出口處。該項目土地用途為商業、二類居住用地,主體建築物性質為住宅、商業、辦公、酒店。根據與深圳市規劃和自然資源局南山管理局簽訂的《增補協議書》約定,本項目建築容積率≤7;建築覆蓋率≤65%;建築高≤200米;地上規定建築面積219,394平方米,地上規定建築面積包括:住宅100,240平方米其中39,500平方米納入保障性住房體系商業40,644平方米、辦公40,000平方米、酒店31,500平方米、文化活動室1,500平方米、物業服務用房440平方米;地下規定建築面積為商業5,070平方米。該宗地塊內住宅、辦公產權條件為分割轉讓,商業為整體轉讓,酒店的產權條件為不得轉讓。目前該項目已經進入主體結構施工階段,住宅部分預計達到預售條件的開盤時間為20218月,預售入市面積60,738.21平方米,2022年底前預計去化完畢,2021年、2022年無結轉收入,2023預計結轉2021年、2022年預售房款的收入28.69億元。

次增資事項完成後,公司持有海城錦51.0204%股權,海城錦將納入公司合併報表範圍。此次投資有助於擴大公司資產規模,提供穩定主業貢獻,提升公司整體質量和盈利能力,促進公司長遠發展。同時,赤灣地鐵站城市綜合體項目位於深圳市南山區蛇口前海自貿區,項目開發前景良好。根據該項目盈利預測情況,預計將對公司未來的財務狀況和經營成果帶來積極影響。
