中創環保(300056.SZ)：擬收購河北新宇宙電動車不低於51%股權
格隆匯7月13日丨中創環保(300056.SZ)公佈，公司作為甲方，近日與乙方呂坤坤、呂洪濤簽署《股權收購意向協議》。
甲方擬佈局新能源汽車研發、製造業務，未來作為公司重要業務板塊。甲方與乙方就乙方持有的丙方河北新宇宙電動車有限公司股權轉讓事宜進行了初步磋商，為進一步開展股權轉讓的相關調查，並完善轉讓手續，雙方達成以下股權收購意向書。
第一條股權轉讓：2.1 目標股權數量：河北新宇宙電動車有限公司不低於51%股權。
2.2 目標股權收購價格確定：參照具有證券期貨相關業務資格的評估機構出具的評估報吿，由甲乙雙方另行協商確定。甲方以現金等方式支付收購對價。
第二條股票增持：若甲方以現金方式支付收購對價的，乙方承諾以股權轉讓所得資金通過二級市場、大宗交易等方式增持甲方不低於5%的股票，甲乙雙方形成深度戰略合作關係。
公司為打造“環衞服務+環衞裝備”的城鄉環衞一體化業務模式，2020年9月入股了陝西汽車集團旬陽寶通專用車部件有限公司(“旬陽寶通”)，進入環衞車輛的研發、生產、銷售領域。旬陽寶通由公司總經理徐秀麗擔任董事長，統籌發展戰略。入股旬陽寶通近一年來，公司積累了車輛生產的經驗，打造了一支優秀的團隊(管理李濤、生產龔澤林、技術朱新城等)。公司收購河北新宇宙後，一方面可以利用旬陽寶通的團隊，發揮協同效應，另一方面，主要是依託新宇宙原有的生產、銷售和研發團隊，通過各種激勵方式留住生產骨幹，同時加派管理人員，按照上市公司的要求規範運作，加強在業務體系、組織結構及管理流程等方面的整合，提高生產效率，為河北新宇宙電動車有限公司發展注入活力和加強支持。
河北新宇宙電動車有限公司(“河北新宇宙”)是一家位於石家莊專業從事新能源汽車研發、生產和銷售的高新技術企業，擁有客車資質、專用車資質、警用車生產資質，是全國定點生產警務用車企業，位於河北省石家莊裝備製造基地，屬河北省直管重點項目。公司一直專注於提供綠色新能源汽車產品共有9大系列21種產品，涵蓋警用巡邏車、移動警務室、環衞車、警務防疫工作站、防疫消毒車、核酸檢測車、負壓救護車等各個領域。
2020年11月2日，國務院辦公廳印發了《新能源汽車產業發展規劃》，提出了到2025年新能源汽車新車銷售量達到汽車新車銷售總量的20%左右的發展願景。同時，地方層面也紛紛出台政策鼓勵新能源汽車消費。國家與地方的政策體系逐漸成型，給予了新能源汽車行業發展極大的支持。在此背景下，公司認為我國新能源汽車行業發展潛力巨大，並且仍處於發展初期，有很好的進入機會。為此，公司為拓展公司業務板塊與市場競爭力，提高公司盈利能力，增強上市公司抵禦風險的能力，擬通過現金收購等方式，收購河北新宇宙電動車有限公司控股權，佈局新能源汽車研發、製造業務，未來作為公司重要業務板塊，進軍新能源汽車領域。公司過去三年的毛利率分別為11.15%、14.67、18.43%，新能源主要車企目前毛利率15%-24%之前。相比之下，公司進入新能源汽車領域，能夠提升公司的盈利水平，並且具有發展空間。
