蘇大維格(300331.SZ)：業績快報信息披露不準確 收到江蘇證監局警示函
格隆匯7月5日丨蘇大維格(300331.SZ)公佈，公司於近日收到中國證券監督管理委員會江蘇監管局下發的《關於對蘇州蘇大維格科技集團股份有限公司採取出具警示函監管措施的決定》([2021]69號)。警示函內容如下：
“蘇州蘇大維格科技集團股份有限公司：
經查，你公司存在以下違規行為：
你公司2021年2月26日披露《2020年度業績快報》，預計歸屬於上市公司股東的淨利潤(以下稱歸母淨利潤)為4297.51萬元；2021年4月28日披露《2020年年度報吿》，歸母淨利潤為5281.75萬元。你公司業績快報披露的歸母淨利潤與年報披露的數據存在較大差異，業績快報信息披露不準確。
你公司的上述行為，不符合《上市公司信息披露管理辦法》(2007年)第二條的規定。依據《上市公司信息披露管理辦法》(2007年)第五十九條的規定，現決定對你公司採取出具警示函的行政監管措施，並記入證券期貨市場誠信檔案。請你公司按照相關法律、行政法規和中國證監會規定的要求，強化信息披露管理，嚴格按規定履行信息披露義務。全體董事、監事、高級管理人員應加強相關法律法規的學習，切實提高規範意識和履職能力。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
公司收到警示函後，高度重視警示函中指出的問題，深刻反思公司信息披露工作中存在的問題和不足，公司將切實加強對《深圳證券交易所上市公司規範運作指引》、《上市公司信息披露管理辦法》等相關法律法規、規範性文件的學習，充分吸取教訓，嚴格遵循上市公司信息披露規範要求，依法履行信息披露義務，不斷提高公司信息披露質量，維護公司及全體股東利益，促進公司健康、穩定、持續發展。
