南風股份(300004.SZ)：擬以10.62億元出售中興能源裝備100%股權予頤帆科技
格隆匯6月22日丨南風股份(300004.SZ)公佈，公司通過在江蘇省產權交易所公開掛牌轉讓的方式，出售持有的中興能源裝備有限公司100%股權。此次重大資產出售的交易對方根據公開掛牌結果確認為頤帆科技。根據公司與頤帆科技簽訂的《產權轉讓合同》，公司擬通過現金出售的方式，向頤帆科技出售公司持有的中興能源裝備有限公司100%股權。此次交易完成後，公司將不再持有中興裝備股權。
根據華亞正信出具的《南方風機股份有限公司擬轉讓股權所涉及的中興能源裝備有限公司股東全部權益價值項目資產評估報吿》(華亞正信評報字【2020】A14-0002號)，以2020年8月31日為評估基準日，標的資產評估基準日股東全部權益價值為165,918.67萬元。
以上述評估值為基礎，公司在江蘇省產權交易所以人民幣165,918.67萬元作為掛牌價格公開掛牌出售標的資產。因在首次掛牌信息發佈期限和第二次掛牌信息發佈期限內未能徵集到意向受讓方，公司將第三次掛牌價格調整為人民幣106,187.952萬元，此次重大資產出售標的資產的交易價格根據第三次掛牌結果，並經交易雙方協商確定為人民幣106,187.952萬元。
此次交易前，公司立足於通風與空氣處理行業，2014年公司完成收購中興裝備100%股權事宜，形成通風與空氣處理系統集成業務、能源工程特種管件業務、重型金屬3D打印業務共同發展的業務模式。
中興裝備是我國能源工程特種管件行業的領軍企業，也是我國能源工程用不鏽鋼無縫管特種管件產品規格最全、外徑最大、壁厚最大的生產企業之一，並在石化、核電、煤化工、新興化工等領域具有較強的市場競爭力和較高的市場佔有率。近年來，受行業政策變化、市場需求放緩、市場競爭加劇等因素影響，中興裝備面臨收入增長乏力、毛利率下降和經營業績下滑的經營困境。
通過此次交易，雖然短期內上市公司經營業績受到一定程度不利影響，但是上市公司將獲得超10億元的現金對價，有利於公司補充發展所需流動資金，公司短期償債能力將有較為明顯的提升，財務狀況有所改善，將進一步優化上市公司資產結構。此次交易完成後，公司將聚焦通風與空氣處理系統集成業務，交易完成後毛利率將提升至31.87%，有利於上市公司提高持續經營能力，增強公司核心競爭力，實現公司可持續發展。
此次交易完成後，上市公司將集中資源，努力提升公司的可持續經營能力和盈利能力、優化上市公司的資產質量，提升上市公司價值，維護中小股東利益。
