東方鋯業(002167.SZ)：為推動WIM150項目進展 與香港百升成立合資子公司
格隆匯6月21日丨東方鋯業(002167.SZ)公佈，為推動WIM150項目進展，整合海外有效資源，拓寬海外融資渠道，公司同意全資子公司澳大利亞東鋯資源有限公司(“澳洲東鋯”)與香港百升有限公司(“香港百升”)成立合資子公司。其中，澳洲東鋯持有新設公司20%股權；香港百升持有新設公司80%的股權。
澳洲東鋯於2012年11月從Austpac公司手中收購了WIM150項目20%的權益(另外擁有該項目50%的產品包銷權)，其餘80%的項目權益由香港百升擁有，目前雙方採用的是“非公司制合資”的方式來合作的。經雙方協商，擬以各自所持WIM150項目權益出資，共同設立一家獨立法人的公司，將WIM150項目裝入新公司，雙方仍按照原合資合同約定的權益分別持股20%和80%，東鋯澳洲仍擁有50%的產品包銷權。新公司成立後，WIM150礦產項目可以通過引入新投資者、IPO上市、合作建設或者貸款等方式來融資，可不需要再由現有合資雙方出資，最終將項目推向投產。
WIM150鋯鈦礦砂項目位於澳大利亞維多利亞州Horsham鎮以東約20公里，是一個大型的近海離岸型鋯鈦礦砂資源(總資源量約16.5億噸，平均重礦物品位3.7%)。該礦體是由CRA(力拓公司前身)於上個世紀80年代勘探煤礦時發現的。在莫里盆地邊緣有數個WIM類型的礦體，其中WIM150資源量大，礦體品位高，剝採比低，臨近基礎設施(毗鄰Horsham鎮，水，電，路設施齊備)，是所有WIM類型礦體中最具優勢的一個。
此次設立合資公司，一方面作為WIM150項目的突破口，結合現階段國內外鋯資源緊缺的形式，能夠擇機通過多渠道推動項目進展，實現公司投資收益；另一方面WIM150項目投產後，公司擁有的50%產品包銷權將有助於提升公司戰略資源儲備，提高公司產品的經濟效益，同時有利於促進公司產業結構調整，滿足轉型升級和科技創新的大方向要求，提升公司企業核心競爭力，打造良好品牌形象。
