飛鹿股份(300665.SZ)：為發展軍工市場業務 與澤天智航及其股東簽署投資框架協議
格隆匯6月18日丨飛鹿股份(300665.SZ)公佈，2021年6月17日，公司、上海飛鹿嘉乘私募基金管理有限公司(公司全資子公司)、盛利華為進一步落實公司發展戰略，發展軍工市場業務，與湖南澤天智航電子技術有限公司(“澤天智航”或“標的公司”)及其股東唐興、孫愛霞、馬駿簽署《投資框架協議》。
根據協議約定的條款和條件，乙方唐興同意將持有的丙方湖南澤天智航電子技術有限公司10%股權(對應丙方100萬元已實繳的出資額，“標的股權”)轉讓給甲方上海飛鹿嘉乘私募基金管理有限公司、株洲飛鹿高新材料技術股份有限公司、盛利華，甲方同意受讓乙方持有的標的股權。
目標公司及現有股東同意將目標公司註冊資本增加至1406.25萬元，並同意緊接上述股權轉讓完成工商變更手續時實施本次增資。根據本協議約定的條款和條件，甲方同意認購丙方此次新增的註冊資本人民幣406.25萬元(“新增註冊資本”)，此次增資後，甲方累計獲得丙方36%的股權。
乙方、丁方同意上述股權轉讓和增資，並確認放棄享有的優先受讓標的股權、優先認繳新增註冊資本的權利。
乙方同意在此次交易完成時，將持有的目標公司15%股權的表決權無償的、不可撤銷的委託給甲方，以使得甲方在目標公司股東會擁有的表決權達到51%並可以合併目標公司的財務報表。
充分發揮公司下屬全資子公司上海飛鹿嘉乘私募基金管理有限公司在新產業方面的投資功能，落實公司向軍工領域拓展的戰略，豐富公司業務板塊。澤天智航是一家專業從事軍工嵌入計算機的高新技術企業。嵌入式技術是包括嵌入式芯片處理器等硬件技術、實時操作系統技術、應用軟件開發技術等相關技術相緊密結合的一門綜合性計算機應用技術。澤天智航已經獲得監管部門的資質認可，已獲得軍工三證；具備較強的研發能力、技術能力和行業理解能力，目前已經擁有了穩定的軍品客户。收購澤天智航部分股權並增資，公司可以直接進入軍工嵌入計算機領域，促進公司在軍工市場戰略的落地，豐富公司現有的業務板塊，為公司創造新的利潤增長點。
發揮協同效應，促進產業發展。若此次交易成功實施，公司將與澤天智航探索其技術在軌交市場的應用前景，為澤天智航現有業務開拓新的應用情景。公司也將借鑑澤天智航在軍工市場的經驗和資質等資源，為公司塗料產品進入軍工市場進行謀篇佈局，推動公司現有產品走向更廣闊的應用情景。通過雙方的業務協作，可以促進雙方業務的發展，增強產業協同發展的能力。
優化資產質量，提升盈利能力。澤天智航是一家技術密集型企業，輕資產運行。若此次投資成功實施，澤天智航將在未來納入公司合併報表範圍，這將有利於優化公司資產質量和業務結構，促進產業協同發展，提升公司整體盈利水平與公司價值，能更好的保障上市公司全體股東的利益。
