金馬遊樂(300756.SZ)：擬就共同投資大連市星海廣場大型摩天輪項目 與合作方簽署合作投資協議
格隆匯6月3日丨金馬遊樂(300756.SZ)公佈，公司於2021年6月3日分別召開第三屆董事會第七次會議、第三屆監事會第七次會議，審議通過了《關於擬對外投資暨簽署項目合作投資協議的議案》。公司及全資子公司中山市金馬文旅發展有限公司(“金馬文旅發展”)擬就共同投資經營管理大連市星海廣場大型摩天輪項目(“大連之星項目”或“項目”)，與大連星源娛樂發展有限公司(“大連星源”)、大連之星娛樂發展有限公司(“項目公司”)等相關合作方開展對外投資並籤署《合作投資協議》。
此次項目擬總投資為2億元，將由金馬文旅發展和大連星源以現金出資(含實繳出資、股東借款)+對外融資(含融資租賃、銀行貸款等)構成。在確保項目公司已獲得大連之星項目20年經營權的前提下，金馬文旅發展將以自有資金實繳出資980萬元受讓項目公司49%的股權，大連星源以實繳出資1020萬元持有項目公司51%的控股股權。剩餘投資擬以對外融資或股東追加投資方式解決，對外融資提款將根據項目公司建設進度實際用款分期申請。公司及金馬文旅發展將根據項目後續建設實際需求，按照有關規則和要求另行履行必要的審議和決策程序。
金馬文旅發展作為公司全資子公司，是公司實施“先進遊樂裝備制造業+現代遊樂服務業”雙輪驅動發展戰略、拓展文旅終端運營業務的重要主體。公司及金馬文旅發展本次就合作投資、經營和管理大連之星項目，開展對外投資暨簽署項目合作投資協議，符合公司拓展文旅終端項目的戰略定位。通過開展項目合作投資，整合各方優質資源，持續推進大連之星項目的實施和落地，能夠加速打造聚焦型、精品型的文旅終端項目，為公司持續開發更多優質文旅終端運營項目積攢經驗，加快拓展公司文旅終端業務佈局和產業鏈條延展；有利於提升公司在文旅終端業務開發、運營和管理領域的整體競爭力，擴大公司現有業務規模和業績增量，為公司持續發展不斷注入新動力，符合公司長遠發展戰略和全體股東的利益。
