越秀地產(00123.HK)附屬擬收購廣州越璟房地產開發90%股權

格隆匯5月31日丨越秀地產(00123.HK)發佈公吿,2021年5月31日,公司附屬廣州城建開發南沙房地產有限公司作為買方與賣方(即廣州越秀明睿三號實業投資合夥企業(有限合夥))訂立股權轉讓協議,據此,賣方同意出售目標公司(廣州越璟房地產開發有限公司,持有項目公司深圳鵬躍房地產開發有限公司100%股權)90%股權,股權轉讓代價約為人民幣5100萬元。

此外,完成起計60個營業日內,買方亦應向項目公司提供約人民幣25.7億元的還款金額,用於償還賣方貸款。買方應確保項目公司在收到還款金額的同日償還賣方貸款(以還款金額償還)連同利息(須由項目公司以其內部資金支付)。完成後,買方將間接擁有目標公司及項目公司100%股權。總代價約為人民幣26.21億元,其中約人民幣5100萬元為股權轉讓代價及約人民幣25.7億元為還款金額。

公吿表示,項目公司已開始建設深圳和樾府項目,該項目包括住宅用地。深圳和樾府項目預計於2022年年底或之前竣工。深圳和樾府項目的土地位於深圳寶安區西鄉街道。鑑於深圳房地產市場的穩定發展趨勢,董事對深圳和樾府項目的前景持樂觀態度,該項目的銷售預期將於未來 12至24個月繼續進行。故董事認為,透過收購項目增加於項目公司的權益乃符合集團的利益。完成後,買方於項目公司的間接實際權益將由10%增加至100%。因此,目標公司及項目公司的財務業績均將併入集團的綜合財務業績,且預期將對集團整體營業收入帶來貢獻。
