航新科技(300424.SZ)：廣州恆貿通過協議轉讓及大宗交易將直接持有5.98%的股份
格隆匯5月18日丨航新科技(300424.SZ)公佈，截止2021年5月18日，卜範勝、黃欣、卜祥堯已經按照《關於廣州航新航空科技股份有限公司的控制權轉讓協議》的通知範本陸續向公司合作方、合同相對方發出通知，並向廣州恆貿創業投資合夥企業(有限合夥)提交了發送證明。廣州恆貿創業投資合夥企業(有限合夥)認為《關於廣州航新航空科技股份有限公司的控制權轉讓協議》的先決條件已經全部滿足並書面通知卜範勝、黃欣、卜祥堯。雙方認為本次控制權轉讓協議約定的先決條件已經獲得滿足，將按照約定繼續履行控制權轉讓協議內容，並簽訂《<一致行動協議>之解除協議》、《股份轉讓協議》、《表決權委託協議》等相關協議。
2021年5月18日，卜範勝、黃欣、柳少娟、李鳳瑞簽署了《<一致行動協議>之終止協議》，解除一致行動關係，終止履行原共同簽署的《一致行動協議》項下約定的任何權利、義務。
2021年5月18日，公司部分控股股東及其一致行動人卜範勝、黃欣(合稱“轉讓方”或“乙方”)與廣州恆貿創業投資合夥企業(有限合夥)(“廣州恆貿”“受讓方”或“甲方”，為恆星資本指定的本次交易主體)簽署了《股份轉讓協議》，約定卜範勝、黃欣將其所合計持航新科技1289.4377萬股股份(占上市公司總股本的5.38%)轉讓給廣州恆貿。除上述股權轉讓外，廣州恆貿還將通過大宗交易方式受讓卜祥堯持有的上市公司143.9182萬股股份(占上市公司總股本的0.60%)。因此，廣州恆貿通過協議轉讓及大宗交易方式，將直接持有航新科技1433.3559萬股股份(占上市公司總股本的5.98%)。
2021年5月18日，卜範勝、黃欣與廣州恆貿簽署了《表決權委託協議》，卜範勝、黃欣將所持上市公司2237.2405萬股股份(占上市公司總股本的9.33%)的表決權、提名和提案權、參會權以及除收益權和股份轉讓權等財產性權利之外的其他權利不可撤銷地委託給廣州恆貿。表決權委託的期限為表決權委託協議生效之日起至卜範勝、黃欣將對應的表決權委託部分股份轉讓與廣州恆貿時止。
根據相關法律法規規定，此次控制權轉讓中的2237.2405萬股股份(占上市公司總股本的9.33%)尚未達到可轉讓條件。交易雙方將在上述2237.2405萬股股份達到可轉讓條件後，根據市場情況協商確定標的股份的轉讓價格以及轉讓方式，並在2022年12月31日前完成全部標的股份交割。
