佳沃股份(300268.SZ)：選舉陳紹鵬為董事長、聘陳建華為總經理
格隆匯 4 月 30日丨佳沃股份(300268.SZ)公佈，公司董事會於近日收到湯捷的書面辭職報吿，湯捷因個人身體原因辭去公司董事長、董事、總經理等職務，辭職後將不再在公司擔任任何職務。
湯捷擔任公司董事長、董事、總經理等職務期間勤勉盡責，對公司戰略規劃、業務發展、資本運作等方面做出了卓越的貢獻，為公司成為中國一流、全球領先的新型海產供應鏈全球化、專業化平台型企業奠定了堅實的基礎。公司董事會對湯捷任職期間對公司做出的貢獻表示衷心感謝！近年來公司處於業務快速發展階段，湯捷多年來長期處於高負荷工作狀態，身體嚴重透支，亟需進行休養，公司董事會對湯捷的離開既不捨，又表示充分的理解和尊重，同時預祝其身體早日恢復健康。
根據《公司法》、《公司章程》等相關規定，湯捷的辭職申請自送達公司董事會之日起生效，其原定任期為2021年1月29日至2024年1月28日。湯捷辭去董事長、董事、總經理等職務不會影響公司相關工作的正常進行，後續公司將盡快完成董事補選工作。
根據法律、行政法規及其他規範性文件的要求和《公司章程》的規定，公司於2021年4月29日召開第四屆董事會第四次會議，審議通過了《關於選舉公司董事長的議案》，選舉陳紹鵬為董事長，任期自董事會審議通過之日起至第四屆董事會屆滿之日止，根據《公司章程》的規定，董事長為公司的法定代表人，董事會授權公司相關人員辦理後續法定代表人變更等手續。
同時，公司董事會審議通過了《關於聘任公司總經理的議案》，聘任陳建華為公司總經理，任期自董事會審議通過之日起至第四屆董事會屆滿之日止。陳建華自2013年加入聯想控股，歷任聯想控股現代農業食品投資部海外投資高級總監、佳沃集團海外業務拓展高級總監、佳沃智利農場執行董事、佳沃集團海外業務副總裁、九橙(上海)餐飲服務有限公司董事長兼總經理等職；曾任公司董事、監事等職務。陳建華經營管理經驗豐富，同時對公司業務情況熟悉，此次公司董事會聘任陳建華為公司總經理是基於陳建華的任職經歷、專業能力、豐富工作經驗及其對公司未來發展前景的信心和對公司價值的高度認可。
