建業地產(00832.HK)擬8.48億元收購河南建業富居投資10%股權
格隆匯 4 月 12日丨建業地產(00832.HK)宣佈,於2021年4月12日,公司間接全資附屬公司上海豫進(作為買方)擬向賣方上海恆玢收購目標公司河南建業富居投資有限公司10%股權,總代價為人民幣8.48億元。
上海豫進、廣州富力及上海恆玢於公吿日期分別擁有目標公司55%、35%及10%股權,於收購事項完成後,上海豫進及廣州富力將分別擁有目標公司65%及35%股權,目標公司將繼續為公司的間接非全資附屬公司。
據悉,目標集團目前主要為發展鄭州五龍口城中改造項目("五龍口項目")及花園口合村並城項目("花園口項目")。五龍口項目整盤佔地775畝,其中開發區佔地498畝,安置區佔地277畝;花園口項目整盤佔地3,329畝,其中開發區佔地2,222畝,安置區佔地1,107畝。五龍口項目及花園口項目分期開發,部份分期項目正在開發銷售。
公吿稱,目標公司為目標地塊的法定及實益擁有人,目標地塊將發展為住宅及商業項目。總規劃建築面積約797萬平米,總佔地面積約4,104畝。集團主要關注開發住宅物業,而開發住宅及商業項目亦構成集團策略的一部分。截至2020年12月31日,集團土地儲備的68.48%及8.20%分別分配予住宅及商業開發項目。收購事項及後續發展將目標地塊開發為住宅及商業開發項目將進一步提升集團的投資組合及拓寬其對河南省商業物業市場的參與度。同時,由於目標地塊位於河南省省會鄭州市主要地段之一,且董事認為河南省物業市場之潛在回報展望良好,收購事項可透過目標公司提高集團於目標地塊持有的權益,從而維護集團於河南省內住宅及商業地產領域的競爭力,對集團未來發展及戰略部署帶有積極意義。
近年來,目標公司的財務表現持續改善,自截至2018年12月31日止年度起開始錄得利潤。董事認為,隨着目標集團的住宅及商業項目持續落成,目標公司之財務表現有進一步提升的潛力,透過收購事項對目標公司權益進行增持可令集團分佔更多目標公司未來業務發展所帶來的經濟利益。
