運達股份(300772.SZ)：與節能風電下屬公司簽署其靖安、華岐項目的風力發電機組設備採購合同
格隆匯 4 月 7日丨運達股份(300772.SZ)公佈，根據中節能風力發電股份有限公司(“節能風電”)社會公開招標的中標結果，公司為中節能白銀靖遠靖安5萬千瓦風電場項目(“靖安項目”)、中節能秦州華岐25MW分散式風電項目(“華岐項目”)的風力發電機組設備供應商。
近日，公司與節能風電下屬全資子公司中節能(靖遠)風力發電有限公司(“靖遠風電”)簽署了附帶生效條件的《中節能白銀靖遠靖安5萬千瓦風電場項目風力發電機組設備採購合同》，交易總金額為人民幣14280.5萬元(含税)；與節能風電下屬全資子公司中節能(天水)風力發電有限公司(“天水風電”)簽署了附帶生效條件的《中節能秦州華岐25MW分散式風電項目風力發電機組設備採購合同》，交易總金額為人民幣7420萬元(含税)。兩項交易總額為21700.5萬元(含税)。
前述靖安項目、華岐項目由節能風電委託北京國電工程招標有限公司組織國內公開招標，分別於2020年12月21日、2021年1月15日在中國節能環保集團有限公司電子採購平台發佈了招標公吿“中節能白銀靖遠靖安5萬千瓦風電場項目風力發電機組設備採購招標公吿”、“中節能秦州華岐25MW分散式風電項目風力發電機組設備採購招標公吿”(招標公吿網址為：http://www.ebidding.cecep.cn/)。公司投遞了投標文件，並收到了北京國電工程招標有限公司發出的關於前述項目的《中標通知書》。
鑑於節能風電控股股東中國節能環保集團有限公司控制的中節能科技投資有限公司持有公司5.22%的股份、中節能實業發展有限公司持有公司2.55%股份，根據《深圳證券交易所創業板股票上市規則》的相關規定，節能風電及其控股子公司被認定為公司的關聯方，此次交易構成關聯交易。
根據《深圳證券交易所創業板股票上市規則》等相關規定及公司相關制度，此次因公開招標形成的關聯交易可以豁免董事會、股東大會相關審議流程。
